Slaughter and May advised Ultra Electronics Holdings - financing of its acquisition of the Electronic Products Division of Kratos Defense & Security Solutions

Slaughter and May advised Ultra Electronics Holdings plc (Ultra), an internationally successful defence, security, transport and energy company, in relation to the financing of its acquisition of the Electronic Products Division of Kratos Defense & Security Solutions for a cash consideration of up to US$265 million.

The acquisition of the Electronic Products Division will be financed using Ultra's existing facilities and a new four year term loan provided by four banks from Ultra's existing core banking group.

KWM advises on financing of new helicopters for Victoria’s emergency health services

King & Wood Mallesons (KWM) acted as joint counsel for Westpac and National Australia Bank (NAB) on a transaction which will provide six new AgustaWestland AW139 (AW139) helicopters to Victoria’s emergency health services. The innovative financing agreement enabled Lease Corporation International Helicopters (LCIH), the helicopter leasing arm of the Libra Group, to lease six new AW139 aircraft to Australian Helicopters Pty Ltd (a member of the Babcock Mission Critical Services Group).

Herbert Smith Freehills acts for lenders on increase of financing commitments to Tullow Oil Group

Herbert Smith Freehills has acted for the lenders led by BNP Paribas in connection with the increase of their financing commitments to Tullow Oil group by US$450 million, including an increase of US$ 200 million to Tullow's reserve-based lending facility and an increase of US$ 250 million to its corporate credit facility.

Norton Rose Fulbright advises RP Global on a 15 Million Euro convertible bond facility financing of European onshore wind and hydro projects

Norton Rose Fulbright has assisted the Austrian renewable energy producer RP Global on a 15 Million Euros convertible bond facility to finance the construction of its portfolio of onshore wind and hydro projects in Europe.

The facility has been subscribed by Paris-based renewable energy fund Mirova-Eurofideme 3, a fund managed by Mirova, Natixis Asset Management’s subsidiary for responsible investment.

Shearman & Sterling Advises on Grant of Interest in New Onshore Oil Concession in Abu Dhabi to INPEX Corporation

Shearman & Sterling advised the Supreme Petroleum Council (the “SPC”) and Abu Dhabi National Oil Company (“ADNOC”) on the grant of a 5% interest in the new 40-year onshore oil concession in the Emirate of Abu Dhabi to JODCO Onshore Limited, a subsidiary of Japan’s INPEX Corporation, the second oil and gas company to be granted rights in the new Abu Dhabi onshore concession.

WFW advises KfW IPEX and SEB on the ECA-backed financing of a 60 MW wind farm in Silute, Lithuania

Watson Farley & Williams (“WFW”) has advised a consortium of international banks on the € 91.3 million financing of a wind farm located in Silute, Lithuania. The consortium consisted of KfW IPEX-Bank GmbH, Frankfurt, SEB AG, Frankfurt, and AB SEB Bankas, Vilnius, Lithuania, as well as Skandinaviska Enskilda Banken AB (publ) as agent and security agent, while the wind farm was developed by Nelja Energia A.S, the biggest wind energy producer in the Baltic region.
