International law firm Taylor Wessing congratulates Chint Solar / Astronergy with the start of its first solar park in the Netherlands, in Veendam!

Since 2006 Chint Solar / Astronergy is specialized in the development of large-scale ground-mount grid connected solar plants and the production and application of solar energy products. The company has a strong focus on the Dutch solar market where it’s targeting to develop and build over 500 MW in the upcoming years.

Zenith Hygiene Agrees to Sell to Bain Capital

Cooley advised Zenith Hygiene on its recommended final cash offer to sell to Bain Capital Private Equity through its investment in Diversey, a global supplier of hygiene and cleaning solutions. The transaction is expected to close in Q1 2018.

Bain Capital plans to fund the acquisition through Diversey, which sold to the investment firm in September. The purchase of Zenith will allow Bain Capital to expand Diversey’s presence in Europe.

King & Wood Mallesons advises Poly Real Estate on the issuance of China’s first rental housing quasi-REIT by the real estate developer

Advised by King & Wood Mallesons (KWM), the GSUM First Seafront- Poly Real Estate Rental Housing No.1 Asset-backed Specific Plan (the “ABSP”) and series 1 of the ABSP were approved by Shanghai Stock Exchange. With registered general offering size of RMB 5 billion, the ABSP is sponsored by Poly Real Estate Group Co., Ltd. (Poly Real Estate). The launch of the ABSP opens up the exit channel for rental housing developers via REITs and establishes an integrated closed-loop business model for rental housing.

We advised in corporate transactions: Norra temporarily into Finnair’s ownership

Eversheds Attorneys advised in corporate transactions resulting in that Norra will be temporarily transferred into the ownership of Finnair. In the arrangement, Finnair acquired 60 per cent of the shares of Nordic Regional Airlines AB (Norra) from StaffPoint Holding Oy (StaffPoint) and Kilco Oy. Before the transaction, Finnair owned 40 per cent of Norra. The transaction has no impact on Norra’s operations or personnel.

Clifford Chance advises ONTRAS on a fractional ownership agreement for the EUGAL gas pipeline

Clifford Chance has advised the transmission system operator ONTRAS Gastransport GmbH on its acquisition of a 16.5 percent fractional ownership in the EUGAL pipeline project. The vendor is GASCADE Gastransport GmbH, which has had sole responsibility for the project to this point. Two further transmission system operators, Fluxys Deutschland GmbH and Gasunie Deutschland Transport Services GmbH, also each acquired a 16.5 percent fractual ownership at the same time.
