Homburger advised Hess Holding in its redomiciliation from Luxembourg to Switzerland

Hess Holding S.A. is the group holding company of the Donald M. Hess family, holding subsidiaries that are active in the fields of viniculture, real estate and art. Hess Group has decided to relocate Hess Holding S.A. from Luxembourg to Switzerland. The headquarters of Hess Holding S.A. were also moved from Luxembourg to Liebefeld (Bern) and the company has been renamed to Hess Holding AG. On June 28, 2016, Hess Holding AG was registered as a stock corporation with a share capital of CHF 100 m in the commercial register of the Canton of Bern.

Taylor Wessing advises glh Hotels on the franchise agreement to open first Hard Rock Hotel in London

International law firm Taylor Wessing has advised client glh Hotels, the largest owner-operator hotel company in London, on a franchise agreement with Hard Rock International for a Hard Rock Hotel, Retail Store, Hard Rock Cafe and entertainment venue at the 900-room Cumberland Hotel.

The hotel that hosted guitar legend Jimi Hendrix a number of times, is operated by glh Hotels and located on Oxford Street opposite Marble Arch, London. It will be the first Hard Rock Hotel in the UK when conversion is completed in 2018.

KWM advises Gryphon Minerals on Terenga Gold Scheme Proposal

King & Wood Mallesons has advised Gryphon Minerals Limited on a Scheme Implementation Agreement (SIA) with Teranga Gold Corporation.

Teranga Gold will acquire all of the ordinary shares of Gryphon via a scheme of arrangement. Under the SIA, each Gryphon Share will be exchanged for 0.169 common shares of Teranga, implying a total equity value for Gryphon of approximately $86m on a fully diluted basis.

The KWM team was led by partner Heath Lewis, supported by senior associate Caitlin Sharp.

We were appointed to advise Oceans Umhlanga in the contract negotiations between Oceans Umhlanga and Rezidor (part of the Carlson Rezidor Hotel Group). The conclusion of the contract was celebrated at a media launch held at The Oyster Box Hotel in Umhlanga last Thursday, 2nd June 2016 where the Radisson Blu Hotel, Durban Umhlanga was officially announced.

The hotel will form part of the much anticipated Oceans Umhlanga development, which will include a shopping mall and luxury residential apartments.
