Hengeler Mueller advises State Street on appointment of fund accounting and fund administration of Dealis Fund Operations with a volume of €500 bn.

Allianz Global Investors and DekaBank appointed State Street to provide fund accounting and fund administration for more than €500 billion in assets previously performed by Dealis Fund Operations. State Street will assume the operations as well as the data management from Dealis Fund Operations. Within the framework of the appointment State Street intends to take on all of the approx. 350 Dealis employees based at the premises in Frankfurt, Leipzig and Luxembourg.

Norton Rose Fulbright acts for Start Mesh Group on establishment of tech innovation fund

Global law firm Norton Rose Fulbright has acted for the Start Mesh Group on the launch of its first venture capital investment fund.  The fund is structured as an early stage venture capital limited partnership (ESVCLP) and is aimed at helping start-ups achieve profitability.

Founded in 2014, the Start Mesh Group is managed and operated by its three co-founders – Richard Webb, Paul Devereux and Matt Youill – who have a strong track record of founding, funding and operating small and large business across a range of industries.

Niederer Kraft & Frey has advised Swiss Capital Group in connection with its successful launch of the Swiss Capital Investment Foundation I. In this context, two innovative investment groups in the asset class Private Debt (Private Debt Allocator I and II) were launched. The setting-up of the investment foundation comprised a regulatory product approval proceeding before the Occupational Pension Supervisory Commission (OPSC).

Darrois Villey Maillot Brochier has advised Financière Gaillon 8, a company that is ultimately controlled by funds managed by PAI Partners, on the sale of part of its Kaufman & Broad shares, for an amount of approximately 257 million euros (i.e. 39.08 % of Kaufman & Broad’s share capital), in a private placement to institutional investors by way of a bookbuilding. The amount of the placement may be increased to 282 million euros in case of full exercise of the over-allotment option.

The placement price has been set at 31,5 euros per share.

Slaughter and May advised Tenaga Nasional Berhad - proposed USD300 million investment in GMR Energy Limited

Slaughter and May, Hong Kong, advised Tenaga Nasional Berhad (Tenaga) in relation to the proposed subscription, through its wholly owned subsidiary Power and Energy International (Mauritius) Ltd. (PEIM), for equity shares in GMR Energy Limited (GMR Energy) and its proposed strategic partnership with GMR Energy in the power production business in India. The proposed subscription will give PEIM a 30% stake in GMR Energy on a fully diluted basis for a total cash consideration of US$ 300 million.

Charles Russell Speechlys’ private equity team has advised Beer and Real Ale specialists Citra Partners on its investment, alongside an investor consortium, in the award-winning brewery, Woodforde’s.

Founded in 1981, Woodforde’s is the largest brewery in Norfolk and is most well-known for its Champion Beer of Britain “Wherry”. James Hughes and Nick Dolan of Citra Partners will join the board of Woodforde's.

Taylor Wessing advises Farfetch on latest funding round

International law firm Taylor Wessing has advised Farfetch, the online community of the world’s best fashion boutiques and global brands, on the company’s latest successful funding round.

Farfetch has raised a total of $110m in its Series F funding round, advised by Qatalyst and led by renowned investment firms Temasek, IDG and Eurazeo. Existing investor, Vitruvian, who led the company’s Series D round, also participated.

Taylor Wessing advises ROLI on $27m Series B funding round

International law firm Taylor Wessing has advised new client ROLI, a multi-award-winning music technology company that is currently developing new musical devices, on its $27m Series B round financing led by leading US-based venture capital firm, Foundry Group, supported by other new investors Business Growth Fund Ventures and Founders Fund.

Existing investors including Balderton Capital, FirstMark Capital, Horizons Ventures, Index Ventures and Universal Music Group also participated in the round.

BLP advises Apposite Capital on its investment in Medical Imaging Partnership Limited

International law firm Berwin Leighton Pasiner (BLP) has advised Apposite Capital, a private equity fund focused on the healthcare sector, on its investment in Medical Imaging Partnership Limited, a medical imaging business.

Apposite invested in Medical Imaging Partnership by way of a subscription for preference shares and loan notes and through the acquisition of existing ordinary shares from shareholders.
