Hannes Snellman advises Summit Partners in its investment in RELEX, a supply chain solution provider for retailers

Summit Partners, a growth equity firm, has acquired a EUR 20 million minority stake in RELEX, a Finnish supply chain solution provider for retailers.

Hannes Snellman advised Summit Partners in the acquisition. The deal team consisted of Tuire Kuronen together with Daniel Villarreal and Annika Salparanta. Heikki Vesikansa and Johan Hägerström advised on tax and structuring aspects of the deal.

King & Wood Mallesons advises Jochen Schweizer on its investment in Hip Trips

In the first season of the television show “Die Höhle der Löwen”, (The Lions` Den), Jochen Schweizer, an entrepreneur and investor agreed to accept two young entrepreneurs and their business model “Hip Trips”. Since the broadcast of the show, the Jochen Schweizer group  has acquired shares in the newly founded Hip Trips GmbH, in which the entrepreneurs based their business operations. King & Wood Mallesons advised the Jochen Schweizer group on this investment.

Charles Russell Speechlys advises management on their investment alongside Blue Water Energy in Excellence Logging

Charles Russell Speechlys has acted as legal adviser to the management team led by Bruno Burban and Benoit Debray (former CEO and COO of Geoservices SA), on their investment alongside Blue Water Energy (BWE), a private equity firm that invests exclusively in the energy sector, in Excellence Logging, a new oil field service company.

Bruno Burban leads Excellence Logging’s management team as CEO and has over 30 years’ experience in the oil field service sector, latterly as CEO and Chairman of Geoservices.

King & Wood Mallesons (KWM) advised the European venture capital firm Point Nine Capital on the closing of its third, oversubscribed Fund (PNC III), raising more than €55 million in commitments.

As with Point Nine Capital`s predecessor funds (PNC I and PNC II), PNC III focuses on minority stakes in early-stage Internet-based businesses worldwide and in particular in continental Europe.

King & Wood Mallesons (KWM) advised the European venture capital firm Lakestar on the closing of its second, heavily oversubscribed Fund, raising more than € 350 million in commitments.

Lakestar II is a Guernsey-based venture capital fund, founded in September 2014. As with Lakestar’s predecessor funds (Lakestar I and the institutional vehicle Trayas Investments), Lakestar II focuses on identifying, investing in and establishing new technology-based businesses.

Northzone, Wellcome Trust and Wellington invest in Klarna

Klarna’s founders Sebastian Siemiatkowski, Niklas Adalberth and Victor Jacobsson have divested a portion of their shares in the company to Northzone, Wellcome Trust and Wellington in a private placement process run by Morgan Stanley. The purpose of the transaction was to finance the founders’ exercise of certain warrants and call options for shares in Klarna.

Clifford Chance advises Mitsubishi Corporation on acquisition of a strategic stake in Olam International for approximately US$1.1 billion

Clifford Chance has advised Mitsubishi Corporation on the acquisition of a strategic stake in Singapore-listed Olam International Ltd. for approximately US$1.1billion (SGD1.5 billion). Mitsubishi and Olam have entered into a subscription agreement under which Olam will issue to Mitsubishi approximately 12% of its enlarged issued share capital for SGD2.75 for each new share. Simultaneously, Mitsubishi is acquiring a number of existing Olam shares from one of the current shareholders of Olam, Kewalram Singapore Limited.

The founder shareholders of the German biotech company IMD Natural Solutions GmbH (INS) and the listed Zhejiang Hisun Pharmaceutical Co., Ltd. (Hisun) in Shanghai, have agreed on Hisun acquiring a minority participation of appr. 21% in INS. A milestone of the agreement is a long-term collaboration between INS and Hisun with respect to the production, marketing and distribution as well as the research and development (R&D) of certain pharmaceutical products.

KWM advises Palamon Capital Partners on innovative GP-led stapled secondary transaction

King & Wood Mallesons has advised long-standing client, Palamon Capital Partners, on a GP-led secondary transaction, which provided investors in two existing Palamon-managed funds with a liquidity option. The buyers, comprising a group of five institutional investors, acquired interests in the existing funds and made a primary commitment to a new vehicle managed by Palamon.
