Slaughter and May is advising Ocado Group on its online grocery retail JV with Marks and Spencer Group

Slaughter and May is advising Ocado Group plc ("Ocado") on its online grocery retail 50/50 joint venture ("JV") with Marks and Spencer Group plc ("M&S"). Ocado has agreed to establish a JV comprising Ocado's UK grocery retail business ("Ocado Retail"), supported by a new partnership for solutions services underpinned by Ocado Smart Platform ("OSP") and the provision of branding and sourcing from M&S. M&S has agreed to pay Ocado £750m (including deferred consideration) for a 50% share of the new JV with Ocado retaining 50% ownership.

argenx Inks $1.6 Billion Agreement With Janssen Affiliate

Cooley advised argenx on its global collaboration and license agreement with Cilag GmbH International, an affiliate of the Janssen Pharmaceutical Companies of Johnson & Johnson, for its product candidate cusatuzumab (ARGX-110), a highly-differentiated anti-CD70 SIMPLE Antibody. Partners Jane Adams and Nicola Maguire led the Cooley team advising argenx on the agreement, which is potentially worth $1.6 billion.

Cusatuzumab is an antibody being evaluated for the treatment of acute myeloid leukemia and myelodysplastic syndrome.

MCDERMOTT ADVISES SOLMIC ON LICENSING AND RESEARCH COOPERATION WITH EMBL

McDermott Will & Emery advised SolMic Research GmbH (SolMic) on a licensing and research cooperation with the European Molecular Biology Laboratory (EMBL).

The aim of the cooperation is to decode the effects of selected plant extracts as used in Traditional Chinese Medicine (TCM). The studies will be advised by EMBL Enterprise Management Technology Transfer GmbH (EMBLEM), a wholly-owned subsidiary of EMBL. The technology portfolio developed by SolMic makes it possible to produce extracts with water-soluble and non-soluble ingredients.

HERBERT SMITH FREEHILLS ADVISES ACCIONA ENERGY ON CORPORATE PPA WITH VIVA ENERGY

Herbert Smith Freehills has advised ACCIONA Energy on a long term power purchase agreement (PPA) with Viva Energy. The PPA commenced in January 2019.

Acciona’s recently-completed 132 MW wind farm at Mount Gellibrand is located near Viva Energy’s Geelong Refinery. The PPA provides for approximately 100GWh per annum, representing around one third of the Geelong Refinery’s annual electricity usage.

The Herbert Smith Freehills team was led by Gerard Pike, with support from senior associate David Ong and solicitor Simon Disney.

Global law firm Norton Rose Fulbright has advised Japanese power companies JERA Co., Inc. (JERA) and TEPCO Power Grid, Inc. (TEPCO PG) on an agreement to invest up to £25 million in the UK battery storage developer and operator, Zenobe Energy Ltd (Zenobe Energy). The investment is one of the largest direct investments from Japan into the

UK battery storage sector and is a strategic investment by JERA and TEPCO PG to leverage their cumulative experience as power producers, distribution and transmission system operators.

The international law firm Herbert Smith Freehills has advised Canada Pension Plan Investment Board (CPPIB), on a strategic partnership for the launch of a real estate investment and development vehicle, Société Foncière et Immobilière du Grand Paris. The joint venture between CPPIB (80%) and Caisse Fédérale du Crédit Mutuel Nord Europe (CMNE) (20%), La Française’s shareholder, will invest in major real estate projects linked to the Grand Paris infrastructure in the Greater Paris area.

Fives joined forces with Visiativ to develop a joint offer dedicated to industrial equipment manufacturers. This new offer, based on a platform and new tools, will enable manufacturers to view the operation of their machines in real-time and plan predictive maintenance services.

International law firm Clifford Chance advised La Francaise on its strategic partnership with Canada Pension Plan Investment Board (CPPIB) for the setting-up of Societe Fonciere et Immobiliere du Grand Paris, a real estate investment vehicle dedicated to the development of real estate projects within the Grand Paris urban scheme and targeting a EU1 billion portfolio under management.

Schulte Advises Blackwells Capital in Cooperation Agreement with Colony Capital Inc.

Schulte represented Blackwells Capital in its cooperation agreement with Colony Capital Inc. Under the agreement, two new independent directors were appointed to the Colony board of directors. A third director, suggested by Blackwells and acceptable to Colony, will also be appointed. Colony is a Los Angeles-headquartered leading global investment management firm with $44 billion in assets under management.
