BLP advises Macquarie in relation to the Formosa III offshore wind farm project in Taiwan

Berwin Leighton Paisner (BLP) has advised Macquarie Capital (Macquarie) on the introduction of EnBW Energie Baden-Württenberg AG (EnBW) to its partnership with Swancor Renewable (Swancor) to jointly develop 2-GW of offshore wind projects in Taiwan, known as the Formosa III project.

Completion of the transaction is subject to a number of conditions precedent, including Taiwan Investment Committee approvals.

Orrick advised Deutsche Telekom on the creation of a joint venture with the ZEISS Group for the development of innovative smart glasses.

The company, tooz technologies, is based in the U.S. and Germany. Equally funded, the company assumes strategic and operational responsibility for the further evolution of the optical technology invented by ZEISS, and the delay-free connectivity provided by Telekom.

Ropes & Gray Advises Harbin Pharmaceutical in a $300 Million Strategic Investment and China Joint Venture with GNC Holdings, Inc.

Ropes & Gray is advising Harbin Pharmaceutical Group Holding Co., Ltd, a leading pharmaceutical company in China, in a strategic investment of approximately $300 million in GNC Holdings, Inc. Upon closing, it will become the single largest shareholder in GNC.

In addition, GNC and Harbin Pharmaceutical have agreed to form a joint venture for the manufacturing, marketing, sale and distribution of GNC-branded products in China. The transaction is expected to close in the second half of 2018, subject to customary closing conditions.

Ashurst advises Kuwait Petroleum International on its investment in the Duqm Refinery and Petrochemical Industries Company

Ashurst advised Kuwait Petroleum International (KPI), a subsidiary of Kuwait Petroleum Corporation, on its joint venture with Oman Oil Company to develop a major new green-field crude oil refinery and a petrochemical complex strategically located within the Special Economic Zone of Duqm in the Sultanate of Oman and valued at US$6 billion. KPI completed its purchase of a 50 per cent interest in Duqm Refinery and Petrochemical Industries Company in February 2018.

Lebanon Completes Successful Offshore Licensing Round

Cleary Gottlieb advised the Ministry of Energy and Water of the Republic of Lebanon, and the Lebanese Petroleum Administration, in connection with its First Offshore Licensing Round.

Exploration and Production Agreements were awarded for two blocks in Lebanon’s exclusive economic zone to a consortium comprising Total, Eni, and Novatek.

The Council of Ministers approved the contracts on December 14, 2017, and a signing ceremony was held in Beirut on February 9, 2018.

Arnold & Porter Advises Novartis on Licensing Agreement with Spark Therapeutics

Arnold & Porter advised long-time client Novartis on its recent licensing agreement with Spark Therapeutics. The licensing agreement covers development, registration and commercialization rights to voretigene neparvovec in markets outside the US. Voretigene neparvovec, known as Luxturna in the US, received FDA approval on December 19, 2017 as a one-time gene therapy to restore functional vision in children and adult patients with biallelic mutations of the RPE65 gene. Currently there is no existing therapy for this disease outside the US.
