Albemarle Corporation’s Lithium Joint Venture in Western Australia

Shearman & Sterling advised global specialty chemicals company Albemarle Corporation in connection with its entry into a definitive agreement to acquire a 50 percent interest in Mineral Resources Limited’s Wodgina hard rock lithium project in Western Australia for a purchase price of US$1.15 billion. The companies are forming a joint venture to own and operate the Wodgina project to produce spodumene concentrate and battery grade lithium hydroxide. The transaction is expected to close in the second half of 2019.

Gilbert + Tobin advised ‘neobank’ Xinja on its restricted banking licence application under the Australian Prudential Regulation Authority’s new regime.

Xinja is a digital-only ‘neobank’ that aims to provide banking services in an innovative and technologically-driven way. Gilbert + Tobin supported Xinja in securing its restricted authorised deposit-taking institution (ADI) licence, which allows Xinja to conduct limited banking services in Australia with the ultimate goal of becoming an ADI.

KWM assists in establishment of a new unlisted logistics vehicle

King & Wood Mallesons has acted for Dexus on a joint venture to establish a $2 billion unlisted logistics trust. The vehicle, named Dexus Australian Logistics Trust, will invest in Australian logistics properties and be open-ended with an indefinite term.

Dexus will initially hold 75% of the core vehicle, to be seeded with assets from its existing industrial portfolio. The remaining 25% will be taken by Singaporean sovereign wealth fund, GIC. GIC will have put and call rights to acquire an additional 24% by June 2020.
