Shearman & Sterling Advises Novartis on Its Proposed $3.9 Billion Acquisition of Advanced Accelerator Applications

Shearman & Sterling is advising Novartis on its proposed $3.9 billion acquisition of Nasdaq-listed Advanced Accelerator Applications, a radiopharmaceutical company that develops, produces and commercializes Molecular Nuclear Medicines. The transaction will strengthen Novartis' oncology presence with both near-term product launches as well as a new technology platform with potential applications across a number of oncology early development programs.

Osborne Clarke advises Jamie Waller on acquisition of Arum

Osborne Clarke has advised British entrepreneur and businessman, Jamie Waller and his investment vehicle, on the acquisition of Arum Systems Limited (“Arum”) a boutique consultancy and credit management specialist.

The acquisition was completed one month after Arum released its annual financials showing a third consecutive year of double digit growth. No significant changes are planned for Arum or its management team, but there will be further investment in people, processes and services.

Together with management, which will continue to hold a stake in Sturtz Maschinenbau GmbH, CGS is pursuing the objective of positioning Sturtz Maschinenbau even better on international markets.

Herbert Smith Freehills advises Ausgrid on acquisition of Active Stream smart metering business

Herbert Smith Freehills has advised Ausgrid on its acquisition of the Active Stream smart metering business from AGL Energy Limited. Active Stream has more than 230,000 digital meters across New South Wales, Queensland and South Australia.

As part of the transaction, the parties will enter into a services agreement under which Active Stream will continue to supply non-exclusive metering services to AGL following completion.

Ashurst advises Bubs Australia Limited on its acquisition of NuLac Foods and interest in dairy processing facility

Ashurst has advised organic baby food company Bubs Australia Limited (Bubs) on its agreement to acquire 100% of NuLac Foods (NuLac), the owner of the CapriLac and Coach House Dairy brands, and a 49.9% equity interest in the dairy facilities producing NuLac Foods products, including Uphamgo Australia Pty Ltd, a CNCA certified producer of adult goat milk powder and a range of related dairy foods (Milk Processing JV).

Taylor Wessing advises Hilton Food Group on major strategic acquisition

Taylor Wessing has advised Hilton Food Group plc (“Hilton”) on its conditional acquisition of Icelandic Group UK Limited (“Seachill”) from Icelandic fund FSI for an enterprise value of £84 million. Seachill is one of the UK’s leading suppliers of fish, including to Tesco, and the acquisition will enable Hilton to extend its protein offering from meat to fish.

WFW advises Global Risk Partners on third major acquisition of 2017

The current management team will stay with the business, which writes circa £30m gross written premium (“GWP”) annually.
