Clifford Chance advising on US$114 billion bank merger between Abu Dhabi Commercial Bank and Union National Bank

Clifford Chance is advising Union National Bank (UNB) in relation to their merger with Abu Dhabi Commercial Bank (ADCB) and their subsequent acquisition of Al Hilal Bank.
This transaction will create the third largest financial institution in the UAE and the fifth largest in the GCC, with assets of AED420 billion (US$114 billion).

A team led by Dr. Peter Christian Schmidt advised RPC Group plc on the acquisition of Neluplast Tiefzieh-Technik GmbH, headquartered in Opfenbach im Allgäu.

The transaction has already been cleared by the relevant antitrust authorities.

Based in the UK and listed on the London Stock Exchange, RPC Group plc is one of Europe’s largest suppliers of plastic packaging, employing some 25,000 people worldwide. The group generated sales of about £3.7 billion in the 2017/2018 fiscal year.

International law firm Ashurst has advised NorthWest Healthcare Properties REIT ('NorthWest') on the acquisition and leaseback of A$1.3 billion of hospital property assets from Healthscope Limited as part of the proposed A$4.5 billion takeover of Healthscope Limited by Brookfield.
 
The property transaction is conditional on Brookfield completing its acquisition of between 50.1% and 100% of Healthscope shares through a scheme or takeover bid, and NorthWest and its affiliates obtaining FIRB approval, both of which are expected to occur in Q2-2019.

Dentons advises Intermedia on purchase of air passenger rights portal Flightright

Berlin--Global law firm Dentons has advised Intermedia Vermogensverwaltungs GmbH on the acquisition of air passenger rights portal Flightright, which is based in Potsdam, Germany. The transaction   the value of which has not been disclosed    is still subject to approval by the antitrust authorities.
 
Flightright's business model is based on the judicial enforcement of claims for damages for airline passengers in the event of cancellations or delays. Legaltech solutions are used to enable passengers to file a standardized claim for damages.
