Osborne Clarke has advised leading US-based imaging services company inviCRO, LLC (Invicro) on its acquisition of Imanova Limited, creating a global provider of imaging services and analytics across the entire drug development pipeline.

Founded in 2011 through a unique joint venture between the MRC, Imperial College London, Kings College London and University College London, Imanova is a world leader in the development of novel imaging biomarkers and analysis techniques and their application in clinical academic research and translational drug development.

Hogan Lovells advises Shop Apotheke Europe on the acquisition of mail-order pharmacy Europa Apotheek

Led by Frankfurt based partner Prof. Dr. Michael Schlitt and Amsterdam based partner Victor de Vlaam, Hogan Lovells has advised Shop Apotheke Europe N.V. on its takeover of mail-order pharmacy Europa Apotheek.

Shop Apotheke will acquire all shares of Europa Apotheek's parent, EHS Europe Health Services B.V. (EHS), in an all-share transaction by way of contribution in kind of such shares against issuance of new ordinary shares in Shop Apotheke. Last year, Hogan Lovells advised Shop Apotheke on its IPO on the Frankfurt Stock Exchange.

Bond Dickinson advises The Sopemea Group on acquisition of industrial testing laboratory

Bond Dickinson has advised the Sopemea Group (Sopemea), a French environmental testing company, on its acquisition of Product Assessment and Reliability Centre Ltd (PARC), a South West-based industrial testing laboratory.

The acquisition will enable Sopemea to position itself in the UK testing market and open up new opportunities for its customers on both sides of the Channel. The PARC laboratory operates a wide range of mechanical and climatic tests including vibrations and shocks, climate, salt spray, sealing and altitude, HALT (Highly Accelerated Life Testing).

Kirkland & Ellis Advises KKR Special Situations on Gruppo Argenta Acquisition

Kirkland & Ellis International LLP is advising KKR Special Situations and its portfolio company Selecta, on the pending acquisition of Gruppo Argenta, a leading vending and coffee service provider in Italy. The transaction was announced on September 29, 2017 and is expected to close in Q1 2018. Read more about the transaction here.

McDermott Will & Emery advised Gimv on the acquisition of the WEMAS group, consisting of WEMAS Holding GmbH and the operating company WEMAS Absperrtechnik GmbH, from NORD Holding Unternehmensbeteiligungsgesellschaft mbH.

WEMAS is the leading full-range provider of certified passive mobile road safety equipment. The broad range of products includes primarily protective barriers, delineators, base plates, warning lamps and traffic cones as well as further plastic products such as mortar bowls and safety products for the logistic industry.

CMS advises Synergie on acquisition of shares in Völker GmbH

Synergie International Employment Solutions SL, a subsidiary of Synergie SE, one of the largest employment services companies in Europe, has acquired 80 per cent of the shares in Völker GmbH. The transaction is currently awaiting approval from the competition authorities.

An international CMS team headed by lead partners Dr Sibylle Novak (Vienna) and Dr Gerd Leutner (Berlin) advised Synergie on all legal aspects of acquiring the shares. The transaction was concluded via a complex, cross-border agreement with multiple parties on the seller side.

Societe Generale Subsidiary ALD Acquires BBVA Autorenting

Paul Hastings LLP, a leading global law firm, and Garrigues, an international legal and tax services firm, announced today that they have advised ALD, the operational leasing and fleet management business line of Societe Generale, on the acquisition of BBVA Autorenting, the Spanish full-service leasing subsidiary of BBVA, following the signing of an acquisition agreement on 26 May 2017.

BBVA Autorenting is the 7th largest player on the Spanish market with a fleet of c. 25,000 vehicles, most of which were previously managed by ALD Spain under a Fleet Management contract.
