Pepper accepts A$675 million KKR takeover

King & Wood Mallesons (KWM) is advising funds, clients and accounts of KKR Credit Advisors and its affiliates (KKR) on their A$675 million acquisition of Australian non-bank lender Pepper Group.

Pepper entered a scheme implementation deed with a KKR established entity which allows Pepper shareholders to elect to receive either A$3.60 a share cash, or to rollover their shares for new ordinary shares in the new holding company for the acquired business.  Pepper shareholders will also receive a A$0.03 cents per share dividend.

Advising German dairy company on crucial acquisition

International law firm Simmons & Simmons has advised German dairy company DMK GmbH and its subsidiary DOC Dairy Partners B.V. on the acquisition of the brand and the Dutch business operations of Uniekaas, a Dutch producer of well-known cheese brands.
The acquisition is a logical step in DOC Dairy Partners' strategy to expand in European growth markets. As a result, DOC will operate an entire production chain, enabling full competition with other cheese producers. This will bring clear benefits to the cheese market in the Netherlands, notably in terms of greater variety.

Eversheds Sutherland acted as legal advisor for the Finnish security and IT group Viria Plc in a transaction in which Viria acquired the entire stock of Nordic LAN & WAN Communication Oy.

The strong growth of Viria's operations focuses on security and network solutions as well as information management services that are further strengthened by the security and data network services and real estate security solutions produced by Nordic LAN & WAN.

DLA Piper advises Coliseum Capital on takeover bid for PAS Group

DLA Piper has advised US-based investment manager Coliseum Capital Management, LLC on its successful on-market takeover bid for The PAS Group Limited (PAS) (ASX: PGR).

The DLA Piper team was led by Head of Corporate James Philips, with senior associate Elliott Cheung and solicitor Jeffrey Chen.

James Philips said: "We are delighted to have supported Coliseum Capital on this successful on-market takeover bid. It achieved our client’s objectives of offering liquidity to PAS shareholders, acquiring control, and increasing its economic interest in the target.

Hengeler Mueller advises funds managed by Oaktree Capital Management, L.P. (“Oaktree”) on acquisition of nursing home operator Vitanas/Pflegen & Wohnen

Oaktree has acquired the nursing home operator Vitanas/Pflegen & Wohnen („Vitanas“) from the Burkart family and the Andreas-Franke-Group. Vitanas is the sixth-largest private operator of nursing homes in Germany with 58 homes, approx. 8,300 nursing places and more than 6,200 employees. The group is offering the full spectrum of nursing services. Vitanas generated revenues of approximately EUR 350 million in the financial year 2016.

Freshfields advises Japan Tobacco International on US$1bn acquisition of PT. Karyadibya Mahardhika and PT. Surya Mustika Nusantara

Freshfields Bruckhaus Deringer (“Freshfields”) has advised Japan Tobacco International (‘JTI’) on the acquisition of 100% of the shares in PT. Karyadibya Mahardhika (‘KDM’) and PT. Surya Mustika Nusantara (‘SMN’) from PT. Hari Mahardhika Usaha for US$677m. In addition, JTI will acquire the net interest bearing debt of the two companies for US$323m, bringing the total value of the deal to US$1bn. The transaction is expected to reach completion in the fourth quarter of 2017.
 

Schellenberg Wittmer advises SIX Group on the acquisition of Aduno SA

SIX Payment Services AG acquired from Aduno Group 100% of the shares in Aduno SA, a Swiss company active in the acquiring and terminal business (card acceptance and processing).
 
The acquiring/terminal segment of Aduno SA generated in 2016 a merchant sales volume of CHF 8.2 billion and an operating income of CHF 97.5 million with a workforce of about 240 employees.
