RWS acquires LUZ, Inc.

RWS Holdings plc, a world leading provider of intellectual property support services (patent translations, international patent filing solutions and searches), commercial translations and linguistic validation, has completed the acquisition of 100% of LUZ, Inc., a market leading Life Sciences language services provider based in San Francisco, for a cash consideration of USD82.5m.

Mayer Brown advises Vitruvian Partners on purchase of OAG for approximately $215 million

London — Mayer Brown has advised European private equity firm, Vitruvian Partners, on the purchase of OAG Aviation Holdings Limited from AXIO Group, the portfolio company owned by Epiris Managers LLP, for approximately $215 million.

OAG is the global leader in aviation information and intelligence. The company has grown to become the world’s leading provider of flight information (schedules and status) and related analytical tools.

Freshfields advises Blackstone on its acquisition of a majority stake in Cloudreach

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) has advised funds managed by Blackstone Tactical Opportunities (‘Blackstone’) in New York on their acquisition of a majority share in Cloudreach, a leading global cloud enabler headquartered in London. The terms of the transaction have not been disclosed.

Hogan Lovells Advises Career Step in Acquisition of Panacea Healthcare Solutions

Hogan Lovells represented Career Step, an online provider of career-focused education and professional training, in the purchase of Panacea Healthcare Solutions, a revenue capture and coding and documentation business. Career Step is a portfolio company of Revelstoke Capital Partners, a Denver-based private equity firm.

Career Step purchased Panacea for an undisclosed price to provide end-to-end education, consulting and data analytics solutions to further augment Career Step’s healthcare related training services.

Symetis acquirers Middle Peak Medical

Symetis acquired Middle Peak Medical, a private U.S. and German medical device company focused on developing minimally invasive novel solutions for unmet needs in the treatment of mitral valve regurgitation. The acquisition marks Symetis’ first expansion from the TAVI space into the broader structural heart segment. Symetis is a Swiss medical technology company specializing in the development, manufacturing and marketing of next-generation percutaneous heart valve replacement solutions for the treatment of severe cardiac valve conditions.

Roschier represents Nokia in its recommended cash tender offer for Comptel

On 9 February 2017 Nokia Corporation announced its intention to acquire Comptel Corporation by launching a recommended cash tender offer to purchase all the issued and outstanding shares and option rights in Comptel. The offer price is EUR 3.04 in cash for each share in Comptel and the tender offer values Comptel at approximately EUR 347 million, on a fully diluted basis. Shareholders representing jointly approximately 48.3 percent of the shares and votes in Comptel have given irrevocables to accept the offer.
 

Gleiss Lutz advises Armira on the acquisition of F24 Group

Gleiss Lutz has been advising Armira on the acquisition of F24 Group, a listed provider of highly secure, cloud-based solutions (SaaS) involving messaging, alerting and crisis management. Armira first acquired 75.2% of the majority shareholders’ shares in F24 AG and then proceeded to acquire more F24 shares by way of a voluntary public purchase offer of free-float shares.

Osborne Clarke advises on 10 recruitment sector deals in recent months

The recruitment sector team at international legal practice Osborne Clarke has acted on a further five deals, which closed throughout the end of 2016 and the first month of 2017, following the five reported in September 2016 . The latest is the acquisition by FL Partners, a Dublin based boutique, of UK-based construction recruitment firm Potensis Recruitment, together with SEAL Resource Management, a related business. Osborne Clarke advised the sellers of Potensis on the sale and related reinvestment into the acquisition vehicle.
