Twilio Inc acquires Beepsend

Twilio Inc has acquired Beepsend AB. Beepsend is a company purchasing, producing, selling and sending text messages on a global market through a way of communication called A2P, application to person.

Twilio was founded in 2008 and has over 650 employees, with headquarters in San Francisco and several offices around the world. Twilio is a cloud communications platform company listed on the New York Stock Exchange with a total revenue of $277.3 million for the full year 2016.

Twilio was advised by Goodwin Procter LLP and Mannheimer Swartling in the transaction.

Delphi advisor to NIBE Industrier AB (publ) on its acquisition of CGC Group of Companies Inc.

Delphi has been legal advisor to NIBE Industrier AB (publ) in connection with its acquisition of 50% of the shares in the Canadian heat pump company CGC Group of Companies Inc., with an option to acquire the remaining 50% of the shares no later than spring 2022.

CGC was founded in 1995 and is headquartered in Mississauga, just outside Toronto, with its manufacturing facility in the nearby town of Fergus.

Freshfields advises Warburg Pincus on its acquisition of Accelya from Chequers Capital

Warburg Pincus intends to combine Accelya with Mercator to create a leading global solutions provider to the travel industry

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) has advised Warburg Pincus on its acquisition of Accelya, a leading provider of financial and commercial solutions to the airline industry, from French private equity firm, Chequers Capital. The transaction is expected to close in the first quarter of 2017.

DWF advises on £54m technology takeover

DWF has advised e-learning services and technology provider Learning Technologies Group plc (LTG) on the proposed recommended cash offer for AIM listed NetDimensions.

LTG's £54m offer for the integrated enterprise talent management software platform is being funded by a £46.5m placing alongside debt facilities provided by Barclays and LTG's chairman Andrew Brode. The takeover will see NetDimensions' mainly blue chip client base across operations in 40 countries, principally in UK, Hong Kong, USA and Germany, transfer to LTG.

Osborne Clarke advises Allgeier on acquisition of Ciber Germany

Allgeier SE and US-headquartered Ciber, Inc. combine their activities in the German market for SAP Consulting Services and SAP Managed Services. To this end, Allgeier Enterprise Services AG acquires Ciber´s German companies, namely Ciber AG and Ciber Managed Services GmbH. In addition, French Ciber France SAS, and major parts of the operations, including the customer relationships and employees of Ciber Danmark A/S, will be transferred, along with the software solution Ciber Compliance Suite for SAP Systems.

KWM advises on Yancoal’s A$3.1b Coal & Allied acquisition

King & Wood Mallesons (KWM) has advised Yancoal shareholder Yangzhou and its parent  Yankuang on the A$3.1b acquisition of Coal & Allied from Rio Tinto.

The Coal & Allied acquisition will make Yancoal Australia’s largest pure-play coal producer, adding interests in three operating, large-scale, long-life and low-cost coal mines in the Hunter Valley region of New South Wales.

A team led by Hamburg-based partner Dr. Stefan Duhnkrack advised family-owned company DMB Dr. Dieter Murmann Beteiligungsgesellschaft mbH (DMB), Kiel, on the acquisition of all shares in DBW Advanced Fiber Technologies Group (DBW) from Süd-Kapitalbeteiligungs-Gesellschaft mbH. Süd-Kapitalbeteiligungs-Gesellschaft mbH is a wholly-owned subsidiary of Süd Beteiligungen GmbH (SüdBG), which in turn is a wholly-owned subsidiary of Landesbank Baden-Württemberg.

Slaughter and May advised Drax Group plc (Drax) on the acquisition of Opus Energy Group Limited, a business to business supplier of electricity, gas and related services in the UK, for cash consideration of £340 million plus an additional “locked box” payment. Slaughter and May’s role included advising on a new acquisition debt facility in relation to the transaction.

Clifford Chance advises Avery Dennison on US$190 million acquisition of Yongle Tape Company, a Chinese global automotive industry supplier

Clifford Chance advised Avery Dennison, a US-based global leader in labeling, product and packaging material solutions, on its acquisition of Yongle Tape Company Ltd., a manufacturer of specialty tapes and related products used in a variety of industrial markets, including the global automotive industry. Yongle Tape will be acquired from the company's management and private equity firm ShawKwei & Partners for the purchase price of US$190 million, subject to customary adjustments.
