Gide, counsel to Crédit Agricole Corporate and Investment Bank on the acquisition of RBS Asia Limited

Gide has advised Crédit Agricole Corporate and Investment Bank (Crédit Agricole CIB) on the acquisition of RBS Asia Limited, a subsidiary of Royal Bank of Scotland, which consists primarily of the Korean Securities franchise.

With the completion of the transaction of this securities franchise in Korea, Crédit Agricole CIB is well-positioned to better serve its clients and to capture growing business opportunities, notably regarding debt issuances and fixed income investment products.

Wabtec acquires majority ownership of Faiveley Transport for $1.8 billion

Jones Day advised Wabtec Corporation in the acquisition of approximately 51 percent of the share capital of Faiveley Transport S.A., a global supplier of high added value integrated systems for the railway industry, held by some members of the Faiveley family for $1.8 billion in cash and stock, including assumed debt. This acquisition will be followed by the launching of a tender offer for the remaining public shares.

In addition to M&A representation, Jones Day provided antitrust, executive compensation, labor, and tax advice regarding this transaction.

Roth Group is one of the leading providers of services for domestic and industrial fire protection, insulations, and coatings in Switzerland.

Norton Rose Fulbright has advised Jiayou (International) Investment Limited, an indirect wholly-owned subsidiary of China Minsheng Jiaye Investment Co., Ltd., on its acquisition of approximately 53.02% of the issued share capital of Yida China Holdings Limited, at a total consideration of HK$3,014 million.

DLA Piper advises JD Sports Fashion on the acquisition of Go Outdoors

DLA Piper has advised JD Sports Fashion Plc (JD Sports Fashion), a retailer of sports, fashion and outdoor brands, on the acquisition of 100% of the issued share capital of outdoor retailer, Go Outdoors Topco Limited (Go Outdoors).  Cash consideration of £112.3 million has been paid with JD Sports Fashion also assuming net debt of approximately £16 million as part of the transaction.

Noerr advises Passauer Neue Presse on acquisition of Donaukurier

Noerr has advised Passauer Neue Presse GmbH (PNP) on its purchase of the Donaukurier publishing group. Effective 1 January 2017, PNP is acquiring the publishing company of the Donaukurier newspaper published in the city of Ingolstadt.

Passauer Neue Presse is continuing its expansion course with this takeover. In the past few years, PNP has already taken over newspapers in southern Bavaria. The present transaction is still subject to clearance by the Federal Cartel Office in Germany.

Noerr advises ISS Deutschland on acquisition of former E.ON subsidiary EVANTEC

Noerr is again advising ISS Facility Holding Services GmbH on a strategic takeover in the German market. The subsidiary of the listed Danish company ISS A/S is buying EVANTEC GmbH from the Luxemburg private equity fund palero invest. ISS was the successful bidder in a structured auction process. As in previous transactions, ISS is once again relying on a Noerr team led by the Berlin corporate partner Dr. Christoph Spiering.
