Orrick Advises InfoVista and Apax Partners in Acquisition of Ascom Network Testing

Orrick advised Paris-based InfoVista and Apax Partners in the acquisition of Ascom Network Testing, a global market leader in testing, monitoring, post processing and performance optimization for mobile networks.

Based in the United States, Ascom Network Testing is the testing subsidiary of the Swiss listed company, Groupe International Ascom. It is the wireless communications drive-test market leader with nearly 40% market share.

With this acquisition, InfoVista doubles its current size and become the world leader of network performance.

JLL Acquires PDM International, a Leading Asia Pacific Interior Design Practice

Baker & McKenzie recently acted as counsel to Jones Lang LaSalle ("JLL") on its acquisition of PDM International ("PDM"), a leading interior design practice across Asia Pacific.  This acquisition will enable JLL to deliver end-to-end, multi-disciplinary fit-out solutions across the region as well as provide design and construct services in 19 cities, with the addition of Beijing, Shanghai, Bangkok, Kuala Lumpur and Seoul.

Charlesbank Capital's acquisition of Polyconcept

NautaDutilh assisted Charlesbank Capital Partners LLC, an experienced middle-market private equity firm, managing more than USD 3.5 billion of capital, on its acquisition of Polyconcept, the world’s largest supplier of promotional products, from investment firm Investcorp Bank INVB.BH.

Charlesbank focuses on management-led buyouts and growth capital financings, generally investing in companies with enterprise values of USD 150 million to USD 1 billion. Charlesbank Capital Partners is based in Boston and New York City.

Clifford Chance advises COFCO International on acquisition of full ownership of Nidera

Leading international law firm Clifford Chance advised COFCO International on the acquisition of the remaining minority interest that it does not own in Nidera Capital B.V., a major international agribusiness and trading company headquartered in the Netherlands, bringing COFCO International's ownership in Nidera to 100%. The original controlling interest was acquired by COFCO in 2014, on which Clifford Chance also advised. The closing of the transaction is subject to regulatory approvals.

P+P advises VTC on acquisition of majority stake in Bilfinger Mars Offshore

The engineering and services group Bilfinger severs its activities for the production and installation of offshore foundations. Through its subsidiary Europoles Renewables GmbH, VTC Group Munchen acquired 62.5% of the shares in Polish company Bilfinger Mars Offshore from Bilfinger SE.

The joint venture manufactures steel foundations for offshore wind turbines in Stettin, Poland. The Polish sovereign wealth fund Mars remains invested as a minority shareholder with its 37.5% share.

As part of its strategic development, Sauer Compressors Holding (J.P. Sauer & Sohn Beteiligungsgesellschaft mbH, Kiel), supported by Heuking Kühn Lüer Wojtek's Hamburg-based M&A team led by Dr. Stefan Duhnkrack, acquired 100 percent of the shares in HAUG Holding AG including its subsidiaries, in particular HAUG Kompressoren AG, St. Gallen/Switzerland. The purchase price was not disclosed.

Vinge advises funds managed by Triton in connection with the acquisition of Fläkt Woods Group. Fläkt Woods Group is a global leader for air technologies on air treatment, air diffusion and air movement. Closing of the transaction is subject to applicable regulatory approvals. The company, with locations in 25 countries in all regions of the world, earns EUR 423 million in sales. It employs more than 2,100 people.
