DWF advises Capita on Trustmarque acquisition

DWF advised Capita on its acquisition of Trustmarque Solutions Ltd, part of the Liberata group, from parent company Ardbid Ltd for a £57m cash consideration.

Trustmarque is an award-winning technology business which delivers integrated services that support UK private and public sector organisations through every step of the IT investment process, from solution development through technology provision to deployment and on-going support.

Ashurst advises SAP on acquisition of Norwegian Fedem Technology

Ashurst advised software group SAP on the acquisition of all shares in Fedem Technology AS, a Norwegian internet of things company based in Trondheim. The shares were sold by the founders and managers of the company for an undisclosed consideration.

The Ashurst team was led by Munich-based partner Dr Thomas Sacher. He was supported by partners Dr Benedikt von Schorlemer and Jan Krekeler (both Frankfurt), counsels Volker Germann (Munich) and Dr Philip Cavaillès as well as by associates Markus Hiebel and Jan van Kisfeld (all Frankfurt, corporate).

Ashurst advises Agilitas on the management buyout of Exemplar Healthcare

Ashurst advised Agilitas, the pan-European mid-market private equity firm, on the management buyout of Exemplar Healthcare, a UK provider of residential nursing care for adults with acute physical and mental disabilities and learning disabilities.

The deal comes after Agilitas last week sold French company Ionisos to the independent private investment company Ardian, on which Ashurst also acted.

VINGE ADVISES BERGS TIMBER AB IN CONNECTION WITH ITS IN KIND ACQUISITION OF JARL TIMBER AB

Vinge has advised Bergs Timber AB (publ) (”Bergs Timber”) on capital markets issues in connection with its acquisition of Jarl Timber AB. The acquisition was approved by the annual general meeting of shareholders in Bergs Timber on June 28, 2016. The acquisition of the shares in Jarl Timber AB was made by an issue in kind where the purchase price consisted of 46 338 430 newly issued shares in Bergs Timber. The newly issued shares were admitted to trading on Nasdaq Stockholm, Small Cap, on July 12, 2016.

Hemsö acquires nursing home in Darmstadt, Germany

Hemsö has acquired a second elderly care home in Darmstadt, Germany from a Luxembourg fund. The home is operated by Deutsches Rotes Kreuz.

Hemsö is a property company that owns, manages and develops buildings for community services in Sweden and Germany. Hemsö's property portfolio in Germany, managed from the company's office in Berlin, comprises 33 elderly care homes. The Hemsö group is owned by The Third Swedish National Pension Fund (85%) and Sagax (15%).

Koninklijke De Heus acquires Coops Mengvoeders

Animal nutrition companies Royal De Heus and Coops Mengvoeders have reached an agreement on the acquisition of Coops Mengvoeders by De Heus.

The acquisition allows Coops Mengvoeders to further develop its regional growth activities, while De Heus is reinforcing its regional position in the east of the Netherlands.
The Baker & McKenzie team advising Royal De Heus on the acquisition was led by Casper Banz and included Joost Polman, Joost Haans,  Christiaan van der Meer, and Derk Christiaans.

Niederer Kraft & Frey advises WindowMaster Group on acquisition of Focair SA

Niederer Kraft & Frey (NKF) has advised WindowMaster Group (WindowMaster) based in Denmark on its acquisition of the Swiss assembly service provider Focair SA. NKF has supported the Danish law firm Lundgrens as Swiss counsel. The closing took place at the end of June 2016. The parties agreed to keep the purchase price confidential.
