DLA Piper advises Orrex Resources on reverse takeover of Nvoi Ltd

DLA Piper has advised Orrex Resources Limited on the reverse takeover of global tech start-up Nvoi Ltd.

Nvoi offers a globally scalable, world first cloud-based marketplace platform for candidates and hiring managers engaged in the on-site contingent workforce.

Australian resources company Orrex has acquired 100 per cent of Nvoi, and this transaction represents a significant change in the nature and scale of the company's current activities, which include gold exploration projects in Western Australia.

DLA Piper advises Sentica Partners on the acquisition of G7 Data Oy and Chilit Oy

DLA Piper has advised a fund managed by private equity company Sentica Partners Oy on the acquisition of majority stakes in G7 Data Oy and Chilit Oy, creating a new and significant IT service provider in the Finnish ICT sector. The company employs approximately 60 professionals in the Helsinki region as well as in Turku and its sales are expected to exceed 30 million euros.

PLMJ advises Gestmin on its acquisition of Famolde

MHP Solution Group is a leading solutions provider for shipping logistics and foreign trade, with 70 employees and offices in Germany, Austria and Spain. The range of services covers the entire demand chain from consulting, delivery and implementation of software and hardware solutions.

Weightmans advise Macclesfield furniture company in deal with Southerns Limited

Southerns Group, a workspace interiors specialist backed by the founder of Clipper Group, has acquired Macclesfield-headquartered Broadstock Office Furniture in a move that creates a major provider to the commercial, educational, governmental and wider business sectors.

Southerns acquired its namesake based in Bolton, and Ralph Capper Interiors, based in Manchester, in March 2015 to create a group that posted revenues in excess of £18m in the year to June 2016. The enlarged group will have over £40m in turnover and more than 200 employees.

Orange acquires leading Moldovan PayTV provider Sun Communications

Travers Smith LLP has advised Orange on the acquisition of Sun Communications by Orange Moldova.

Sun Communications is the leading Pay TV provider in Moldova by customer base and offers digital and cable TV services under the SunTV brand to its customers. With over 172 channels and 25 HD channels, SunTV is one of the largest providers of cable TV services with over 100,000 active customers. Sun also offers internet and VOIP (Voice over IP) services to over 38,000 customers in Moldova.

Clifford Chance advises CVC on privatisation offer for Nirvana Asia

Leading international law firm Clifford Chance is advising CVC on its US$1.1 billion privatisation of Hong Kong listed Nirvana Asia Ltd (Nirvana) by way of a scheme of arrangement. The cash offer of HK$3.00 share, represents a 37.6% premium to the 30 day average closing price of Nirvana shares prior to the offer. Following the proposed transaction, Tan Sri Kong, the Founder of Nirvana, and CVC will be the two largest shareholders in Nirvana. The Founder will continue in his role as CEO and lead the existing management team of Nirvana.
