Hogan Lovells advises London-listed Polymetal on acquisition in Armenia

Moscow, 10 March 2016 – Hogan Lovells assisted Polymetal International Plc ("Polymetal"), major LSE-listed gold-mining group operating in Russia and Kazakhstan in signing a binding agreement for acquisition of the Kapan mine in Armenia from a TSX-listed Canadian international gold mining group Dundee Precious Metals Inc. ("DPM") (the "Transaction").  The Transaction was structured through sale of shares in the Armenian company Dundee Precious Metals Kapan CJSC ("DPMK").

Hill Dickinson and DTE Corporate Finance advise GP Strategies on acquisition

GP Strategies Training Limited, the Bredbury-based improvement solutions and learning provider, has acquired Jencal Training and its subsidiary B2B Engage.

International law firm Hill Dickinson acted on behalf of GP Strategies, a wholly owned subsidiary of NYSE-listed US parent company GP Strategies Corporation (GPX) with a team led by Jonathan Gillow, Ian Riggs and Sean Lightfoot. Andy Humphrey and Stephen Moorcroft of DTE provided corporate finance advice.

Hengeler Mueller advises freenet AG on acquisition of Media Broadcast Group

mobilcom -debitel GmbH, a wholly owned subsidiary of freenet AG, signed an agreement to acquire Media Broadcast Group on 3 March 2016. Media Broadcast Group GmbH is the principal operating company of the group. Media Broadcast’s Satellite business unit is not included in the acquisition. The closing of the transaction is subject to the usual approval by the antitrust authorities and is expected by April 2016 at the latest.

Burges Salmon advises the RAC on vehicle diagnostics acquisition

Burges Salmon has advised breakdown and motoring services specialist the RAC on its acquisition of vehicle diagnostics specialists Nebula Systems, having advised the RAC on a number of transactions to develop the RAC's telematics capability since 2013.

Reinforcing its position as a market leader in telematics innovation for remote vehicle data analysis, the RAC’s acquisition of Nebula Systems enables it to draw upon a vast amount of data from the total number of vehicles across the UK.

Travers Smith acts for new client Stirling Square on the acquisition of Mettis

Private equity partner Helen Croke has advised new client Stirling Square Capital Partners, a leading pan-European private equity firm, on the acquisition of Mettis Aerospace Ltd.

The company was acquired by Stirling Square from Saints Chamonix. The transaction marks Stirling Square’s fourth investment from its Third Fund, which recently held its final closing at the hard cap of €600m.

Pinsent Masons advises on €1.2BN Redefine Properties transaction

Pinsent Masons has advised longstanding client Redefine Properties on a €1.2bn real estate acquisition.

The deal will see Redefine Properties Limited acquire a 75% stake in a Dutch property vehicle Echo Prime Properties B.V., which indirectly owns a significant portfolio of prime real estate assets in Poland, including the Galeria Echo in Kielce.  The transaction remains subject to relevant European and Polish anti-trust approvals.

White & Case Advises Duke Street on Acquisition of Medi-Globe

White & Case LLP has advised London-headquartered mid-market private equity firm Duke Street, as consortium leader, on the acquisition of the Medi-Globe Corporation, a Germany-based medical devices business focused on minimally invasive surgery in gastroenterology and urology.

As well as Duke Street, the consortium includes funds advised by DB Private Equity, Atnahs Capital, Brederode and Harwood Capital. The Medi-Globe acquisition is Duke Street's first transaction in Germany. The parties have agreed not to disclose the purchase price.

Mayer Brown advises Tesch Group on acquisition of mediafinanz AG

Mayer Brown announced today that it represented Tesch Group on the acquisition of mediafinanz AG from three investment companies held by the founding shareholders. The purchase price was not disclosed.

Located in Osnabrück, Germany, mediafinanz AG is a leading German services provider for risk and receivables management for the e-commerce market.
