Herbert Smith Freehills advises on major UK pensions buyout

Herbert Smith Freehills has advised longstanding client Pension Insurance Corporation (PIC), a specialist insurer of defined benefit pension funds, on its circa £2.4 billion all-risks pension insurance buy-out with the Trustees of the Philips UK Pension Fund (Philips), a diversified health and well-being company. This is the largest full pension insurance buyout in the UK to date.

Kirkland & Ellis Represents Sankaty Advisors in connection with Acquisition of GE Portfolio

Kirkland & Ellis is representing Sankaty Advisors, LLC, the credit affiliate of Bain Capital, LLC, on certain financing aspects of its acquisition of GE Capital's Commercial Lending and Leasing portfolios in Australia and New Zealand. The transaction, which is expected to close by the end of the year, was announced on November 9, 2015.  The portfolio has in excess of A$2 billion (USD1.4 billion) of exposure to five different asset pools, including debtor finance, corporate aviation finance, leveraged finance, equipment finance and asset-backed lending.

Slaughter and May is advising Shire - acquisition of Dyax

Slaughter and May is advising Shire Plc on the acquisition of US-based biotechnology company Dyax Corp. for an aggregate upfront consideration of approximately $5.9 billion. Through the transaction, Shire will further its strategy to become a leading global biotechnology company and expand its portfolio of treatments for the rare genetic condition known as hereditary angioedema, or HAE.

ADS, Inc. acquires Theodor Wille Intertrade AG

ADS, Inc., a provider of value-added logistics and supply chain solutions based in Virginia Beach, United States, has completed the acquisition of Theodor Wille Intertrade AG, a prime vendor to the U.S. Department of Defense with headquarters in Zug and operations in Germany and the United Arab Emirates. Both ADS, Inc. and Theodor Wille Intertrade AG are recognized as Gold-Tier suppliers for the U.S. Defense Logistics Agency. The terms of the transaction have not been disclosed.

KWM acts on Quadrant’s acquisition of Urban Purveyor Group

King and Wood Mallesons (KWM) has advised Quadrant Private Equity on its acquisition of food and beverage empire Urban Purveyor Group (UPG) from founder, John Szangolies.

UPG comprises 20 unique restaurant and bar venues across Sydney, Melbourne and Brisbane including Lowenbrau Keller, The Argyle, Sake and Bavarian Bier Cafes.

The KWM team was led by partner Mark McNamara and included special counsel Alex Elser, senior associate Carola Toledo Silva and solicitors Josh Chalkley, Stephanie Daaboul and Anthoney Duong.

DLA Piper advises Sun European Partners on LBO acquisition of Flexitech Group

DLA Piper has advised an affiliate of Sun European Partners, on the LBO acquisition of the Flexitech Group (Flexitech), the world leading global designer and supplier of hydraulic brake hoses to the automotive industry.
 
The business was acquired from Mitsubishi Corporation for an undisclosed value.
 
French headquartered Flexitech employs over 1,200 staff.  It operates its own facilities in France, Romania, the United States, Mexico and Brazil, and supports its customers through local partners in China and India.
