Morgan Lewis Advises Digital Colony in Opencell Acquisition

Morgan Lewis has advised Digital Colony, a global investment firm focused on mobile and internet infrastructure, in its acquisition of Opencell, further expanding its presence in the United Kingdom. The transaction was signed on November 1.

Opencell provides multi-operator indoor mobile coverage for a variety of customers, building types, and sizes, particularly landlords and tenants using small cell infrastructure.

WBD and Isca Ventures act for Banner on second schoolwear retailer acquisition

Law firm Womble Bond Dickinson (WBD) and corporate finance advisers Isca Ventures have advised F.R. Monkhouse, one of the largest independent schoolwear retailers in the UK and part of Banner group, on its acquisition of Early Years Schoolwear Ltd.

Founded in 1968, Early Years Schoolwear is a family business which has grown over the years to become the official stockists for around 70 schools in the Solihull, Birmingham and Stratford areas.

DWF has advised multinational specialist technology outsourcer Equiniti on the acquisition of pensions technology provider Aquila Group Holdings Limited from AquilaHeywood Limited.

The DWF Manchester corporate team provided legal services to Equiniti for the transaction which will enhance the business's client offerings and add depth to its technology solutions service.

Slaughter and May advised Sykes on its acquisition of Symphony

Slaughter and May advised Sykes Enterprises, Inc. (“Sykes”) on its acquisition of Symphony Ventures Limited (“Symphony”) for a purchase price of approximately £52 million. The acquisition completed on 1 November 2018.

Sykes is a NASDAQ listed digital marketing and customer service global outsourcer, providing customer-engagement services to Global 2000 companies.  Symphony is a leading provider of Robotic Process Automation (“RPA”) services.

CMS advises ME Capital on acquisition of shares in Gutekunst GmbH

Stuttgart – The current owning family of Gutekunst GmbH, a specialist in precision deep drilling technology, has implemented a business succession arrangement. With effect from 14 September 2018, all the shares were transferred via private equity firm ME Capital Advisory & Consulting GmbH to the Egner family as the new owners. The managing shareholder is now Philipp Egner, who intends to drive forward growth, professionalise the business and tap into international markets. The details of the transaction were not disclosed.

Continental Acquires Kathrein’s Automotive Division

Shearman & Sterling advised Continental AG (Continental) on the acquisition of Kathrein Automotive GmbH (Kathrein Automotive), one of the leading specialists in and manufacturers of vehicle antennas. The transaction is subject to the approval of the competition authorities and expected to close in the first quarter of 2019.

Kathrein Automotive is a subsidiary of Kathrein SE headquartered in Rosenheim. The company has over 1,000 employees and operates eight locations in Brazil, China, Germany, Mexico, Portugal and the U.S.

Argos Wityu invests in the world market leader of inflatable floating waterparks, Wibit Sports

King & Wood Mallesons (KWM) has advised Argos Wityu on the acquisition of a majority stake in Wibit Sports GmbH (Wibit Sports), the pioneer in the field of floating waterparks worldwide.

The acquisition of a stake in Wibit Sports is the second investment by Argos Wityu in Germany within two months. KWM also advised Argos Wityu on the acquisition of a majority stake in aktivoptik Group at the end of August 2018.
