McCann FitzGerald advises OPKO Health Group on its acquisition of EirGen Pharma for $135million

McCann FitzGerald advised OPKO Health Inc., a multinational biopharmaceutical and diagnostics company, on its acquisition of EirGen Pharma Ltd (an Irish incorporated pharmaceutical company). OPKO Ireland Ltd acquired certain shares of EirGen for approximately $100 million in cash and Inc. acquired the remaining shares in exchange for an issue of shares by Inc. (with a value of approximately $35 million).

Noerr advises Apollo’s joint venture Alteri on takeover of mail-order group Walz

Noerr has advised Alteri Investors on the takeover of the mail-order company Walz GmbH. Alteri, an investor focusing on the retail trade, has acquired this mail-order group which is among the leading specialist mail-order companies in Europe. Alteri is a joint venture funded by the private equity fund Apollo, which specialises in debt and equity financing in the retail industry.

Addleshaw Goddard advises on MBO of Evans Cycles

Addleshaw Goddard has advised ECI Partners (ECI), the leading growth-focused, mid-market UK private equity firm, on the purchase of the specialist cycling retailer, Evans Cycles from Active Private Equity.

The deal will see ECI hold a significant stake in Evans Cycles, with the remainder held by management. The current Evans management team, headed by Nick Wilkinson, will continue to lead the business.

Clifford Chance advises Nikon Corporation on its offer to acquire London listed Optos plc

Clifford Chance is advising Nikon Corporation on its recommended all cash offer to acquire London listed Optos plc, a leading retinal imaging company domiciled in Scotland. The offer values Optos at approximately GBP 259 million. The proposed acquisition of Optos is an important step in Nikon's implementation of its strategic initiative focused on driving sustainable long term growth that was announced in its June 2014 Medium-Term Management Plan Transform to Grow.

Irwin Mitchell Birmingham Advises Sunrise Medical On RGK Acquisition

The corporate team at the Birmingham office of Irwin Mitchell has advised West Midlands-based Sunrise Medical Holdings Limited on its acquisition of RGK Wheelchairs.

Sunrise Medical, which is a world leader in the development and manufacture of innovative, high-quality mobility products and services, has purchased Staffordshire-based RGK Wheelchairs Limited from its existing shareholders for an undisclosed sum.

Launched in 1988, RGK is a bespoke wheelchair company founded by former paralympian Greg Eden and wheelchair basketball player Russel Simms.

DLA Piper represents CyrusOne in acquisition of Cervalis

DLA Piper represented CyrusOne Inc., a global enterprise data center and colocation provider, in its acquisition of Cervalis Holdings LLC, a privately held owner and operator of data centers, for US$400 million.

Under the terms of the definitive agreement, CyrusOne will acquire four data center facilities and two work area recovery facilities serving the New York metropolitan area. The transaction will expand CyrusOne’s existing portfolio to 31 data centers across 12 distinct markets (ten cities in the United States, London and Singapore).

Clifford Chance advises EQT Infrastructure II on the acquisition of E.ON's stake in EEW Energy from Waste

Clifford Chance advised EQT Infrastructure II on the acquisition of the remaining 49% stake in EEW Energy from Waste (EEW) of E.ON.

EQT Infrastructure II had already acquired 51% of the shares in March 2013 and had also been advised by Clifford Chance on that transaction.

DLA Piper advises Waterlogic on acquisition

DLA Piper has advised Waterlogic Australia Holdings Pty Limited on its purchase of the Australian business of New Zealand stock exchange-listed Just Water International Limited for AU$11 million.

Waterlogic Australia is a subsidiary of the Waterlogic group, which is a leading provider of point-of-use (POU) water purification systems and dispensers throughout offices, schools, hospitals, restaurants and homes across Europe, the United Kingdom, North America and Australia. The acquisition increases Waterlogic's market share in the POU market in Australia.
