White & Case Advises CEE Equity Partners on First Investment in Hungary

White & Case LLP has advised CEE Equity Partners Limited (CEEEP) on its acquisition of a majority stake in BKF University of Applied Sciences, a private higher education business in Hungary.

"It was great to work with CEEEP, a growing client for White & Case, on its first investment outside of Poland," said Budapest-based White & Case partner Edward Keller, who led the team which advised CEEEP. "The transaction was of particular importance as it was the first sizeable private equity investment in a higher education institution in the region."

Reverse Takeover of EpiCentre Holdings Limited

Danny Lim, Chia Lee Fong and Kalyn Liang from the Corporate & Capital Markets Practice are acting for EpiCentre Holdings Limited, which is listed on the Catalist Board of the Singapore Exchange Securities Trading Limited, in its proposed reverse takeover, which will see the company acquiring the Healthtrends group of companies operating in Singapore, Malaysia, Vietnam and Hong Kong, which are engaged in the businesses of medical aesthetics and cosmetic surgery, primary care and medical wellness, and distribution of medical products and solutions for S$100 million.

Baker & McKenzie Advises Ingersoll Rand on the EUR 100 million acquisition of FRIGOBLOCK

Ingersoll Rand Plc, a leading global manufacturer of air-conditioning systems, has entered into an agreement to acquire FRIGOBLOCK fom its founder Peter Grosskopf. The acquisition is expected to close in the first half of 2015, subject to regulatory approval. The transaction value amounts to EUR 100 million.

Baker & McKenzie advised Ingersoll Rand Plc with an international team of lawyers from Germany, London and Brussels on all M&A / corporate law, antitrust law, labor law, IP law and tax law issues.

Delphi advisor to Nibe Industrier AB (publ) on the acquisition of Askoma AG in Switzerland

Delphi has advised Nibe Industrier AB (publ) and its subsidiary Backer BHV AB on the acquisition of Askoma AG in Switzerland. Askoma will become a part of the Nibe Element business area.

Askoma has operations in Bützberg, Switzerland and Johor Bahru, Malaysia. The company was founded 1967 and has now annual sales of approximately MCHF 7.2 (MSEK 55) with an EBIT-margin above 10%. Askoma has 26 employees in Switzerland and 17 employees in Malaysia.

Eversheds advises H2 Equity Partners on its investment into NRS Healthcare

Eversheds has advised H2 Equity Partners (‘H2’) on its investment into NRS Healthcare (‘NRS’). H2 partially bought out existing shareholder LDC and has become the majority shareholder in NRS, with LDC and the management team retaining a minority interest.

NRS is a market leading provider of specialist community healthcare equipment and services the NHS and local authorities. Based in Leicestershire, NRS employs 734 employees across the UK and is forecast to generate sales of £132 million in its current financial year.

BEITEN BURKHARDT has advised REG European Holding B.V. (REG), having its business seat in Schiphol (The Netherlands), a subsidiary of the American Renewable Energy Group, Inc., on the acquisition of the shares in PETROTEC AG, held by the current majority shareholder IC Green Energy Ltd. (ICG), an Israeli company with business seat in Tel Aviv, which represent 69 percent of the company's share capital. Further, REG acquires the shareholder loans. Completion of the transaction is expected before the end of the year.

AllBright Advises Shanghai Industrial Urban Development on the Purchase of Shanghai Mart Stake

AllBright’s client Shanghai Industrial Urban Development Group, Ltd. (“SIUD”) (0563.HK) announced that it has, through an overseas indirect acquisition, bought a 99% ownership stake in Shanghai Mart Co., Ltd. at a cost of USD $579,300,000. The deal was closed on the same day it was announced. SIUD has set up a joint venture with Hong Kong’s Nan Fung Group to renovate and manage the property under the Shanghai Mart name.

SIUD is a Hong Kong-listed company focusing on property development, property investment and hotel operations.
