White & Case Advises EPH on Agreement to Acquire Eggborough Power

White & Case LLP has advised Energeticky a prumyslovy holding (EPH) on its agreement to buy Eggborough Power Limited, an acquisition which marks the group’s entry into the UK market.

EPH is a leading Central European energy group operating mainly in the Czech Republic, Slovakia and Germany. The group includes 40 companies, employing more than 10,000 people, operating in coal extraction, electricity and heat production from conventional and renewable sources, electricity and heat distribution, electricity and gas trading and supply to end users.

MS advises ProXES, DBAG's new process engineering holding company, on addition of FrymaKoruma to its portfolio

ProXES GmbH, a new holding company set up by Frankfurt-based Deutsche Beteiligungs AG (DBAG), has acquired a stake in FrymaKoruma AG (Rheinfelden, Switzerland) and FrymaKoruma GmbH (Neuenburg) from the Romaco Group. Under the umbrella of ProXES, the two FrymaKoruma process engineering companies will work closely with existing investment Stephan Machinery GmbH. Headquartered in Hameln, Stephan Machinery was acquired by DBAG in 2013.

Shearman & Sterling Advises Namura Shipbuilding in Acquisition of Sasebo Heavy Industries

Shearman & Sterling advised Namura Shipbuilding Co., Ltd. in its completed acquisition of Sasebo Heavy Industries Co., Ltd. in a transaction valued at $234 million.

Sasebo Heavy Industries Co., Ltd. was established in 1946, with its main center of operations located in the former Sasebo Naval Base. Since that date, the company has expanded its workshops and shipyards to become a well-coordinated heavy industry company with four main divisions comprised of Shipbuilding, Ship-repairing, Machinery and Steel Structures.

Paul Hastings Advises GI Partners in Acquisition of Kellermeyer Bergensons Services

Paul Hastings LLP has represented private equity firm GI Partners, a leading middle market private equity firm, in connection with its acquisition of Kellermeyer Bergensons Services, L.L.C. (“KBS”), a leading provider of integrated facilities management services to many of the largest retail and grocery chains in North America.

Private Equity/M&A partners Brandon Howald and William Simpson led the Paul Hastings team, which also included Finance of counsel Lindsay Sparks and Tax partner Doug Schaaf. 

Baker & McKenzie Advises MCH Group on its Acquisition of Asian Art Fairs Limited

Baker & McKenzie recently advised MCH Messe Schweiz (Basel) AG (MCH Swiss Exhibition (Basel) Ltd.), a company belonging to the MCH Group AG/Ltd., on the acquisition of the remaining 40 percent of the shares in Asian Art Fairs Limited in Hong Kong. MCH Group had acquired 60 percent of the shares in Asian Art Fairs Limited in July 2011 and utilized its option to acquire the 40 percent balance in 2014.

Clifford Chance advises COFCO on successful closing of US$2.8 billion acquisitions of 51% of Noble Agri and 51% of Nidera

Clifford Chance has advised COFCO Corporation on the closing of two concurrent global acquisitions, being 51% of Noble Agri Limited for an initial purchase price of US$1.5 billion and 51% of Nidera Capital B.V. for approximately US$1.3 billion. Both Noble Agri and Nidera acquisitions became wholly unconditional on 30 September and were completed and settled on 14 October.

Casa Cuervo's Acquisition of Diageo's Bushmills Irish Whiskey

Casa Cuervo and Diageo have entered into an agreement under which Casa Cuervo will acquire The “Old Bushmills” Distillery Company Limited, including the Bushmills Irish Whiskey brand, and Diageo will acquire full ownership and control of Don Julio Tequila for $408 million, which will be paid to Diageo upon completion. Cravath represented Casa Cuervo in this transaction, which is expected to close in early 2015 subject to certain approvals.
