Latham & Watkins Advises CDPQ on the Acquisition of FNZ

La Caisse de dépôt et placement du Québec (CDPQ) and Generation Investment Management LLP (Generation) have announced the acquisition, subject to regulatory approval, of General Atlantic and H.I.G. Capital’s investment in FNZ, in a deal valuing the company at £1.65 billion. The acquisition, which is one of the world’s largest FinTech transactions this year, represents the first investment by CDPQ-Generation, a unique, sustainable equity partnership announced by CDPQ and Generation.

CMS has advised ALPLA on its expansion in South-Eastern Europe

ALPLA, a leading provider of plastic packaging worldwide, has acquired Argo S.A., headquartered in Athens, Greece, with a subsidiary and an additional production site near Bucharest, Romania. International law firm CMS functioned as the lead-counsel for ALPLA on the transaction. Closing of the transaction occurred on 1 October 2018, upon having obtained applicable regulatory and competition approvals. Financial terms of the transaction remain confidential.

CMS advises Bechtle AG on acquisition of network specialist BT Stemmer from British Telecom

Stuttgart – German IT group Bechtle has acquired BT Stemmer GmbH, a specialist in networking solutions, unified communications, IT security and managed services. The Munich-based firm had been owned by British Telecom since 2008. The Cisco and NetApp partner will now trade under the Stemmer name as part of the Bechtle Group. The parties agreed not to disclose the purchase price. The transaction is currently awaiting approval from the competition authorities.

MinterEllison acts for Hometown in $942 million off market takeover bid for Gateway Lifestyle

MinterEllison has acted for Hometown Australia Holdings Pty Ltd (Hometown Australia) and Hometown America Holdings, L.L.C. (Hometown America) on the $942 million enterprise value off market takeover bid for Gateway Lifestyle Group (Gateway, ASX: GTY).

Hometown Australia is wholly owned by Hometown America, an operator of residential land lease communities in the United States. Founded in 1997, it currently owns over 60 communities with more than 24,000 homes across the United States. It entered the Australian market in 2017.

Linklaters advises the Polish Development Fund on its acquisition of 99,77% of shares in Polskie Koleje Linowe from Mid Europa Partners

Linklaters advised Polish Development Fund (PFR), the Polish sovereign fund, on its acquisition from Mid Europa Partners of the holding company Altura Sarl which holds 99.77% of shares in Polskie Koleje Linowe SA (PKL). The closing of the transaction is planned for the coming months following satisfaction of mandatory conditions precedent, including the approval of the Polish Competition Regulator (UOKiK).

DBAG Fund VII’s Acquisition of a Majority Stake in SERO Schröder Elektronik Rohrbach GmbH

Shearman & Sterling advised Deutsche Beteiligungs AG (DBAG) and DBAG Fund VII advised by DBAG on the acquisiton of a majority stake in SERO Schröder Elektronik Rohrbach GmbH (Sero) in connection with a Management Buyout (MBO). Sero is the sixth investment of DBAG Fund VII, which focuses inter alia on successions in family-owned companies in MBO transactions. The transaction is subject to the approval of the competition authorities and expected to close in November 2018.

White & Case Advises Metric Capital Partners on Investment in Parmaco

Global law firm White & Case LLP has advised European private capital group Metric Capital Partners LLP, as part of a consortium led by European private equity firm Terra Firma and including Hong Kong-headquartered investment firm Sun Hung Kai & Co Limited, on the acquisition of Parmaco OY.

It is the first time that White & Case has advised Metric, with the consortium acquiring Parmaco from Finnish private equity fund MB Funds. The transaction is subject to customary regulatory approvals and is expected to complete by the end of 2018.
