Linklaters Advises Power Construction Corporation of China on Acquisition of Siemens Subsidiary

Linklaters advised the state-owned power-station builder Power Construction Corporation of China (PCCC) on the acquisition of the tradition-steeped former Siemens AG subsidiary TLT-Turbo GmbH. The parties agreed not to disclose the purchase price. The completion of the takeover is planned for the beginning of 2014, subject to approval by regulatory authorities. PCCC, headquartered in Beijing, specialises in large projects in the power-generation, infrastructure and mining sectors.

Pinsent Masons advises as Global Risk Partners makes first acquisition

International law firm Pinsent Masons has advised Global Risk Partners on its maiden acquisition and investment by private equity house, Penta Capital.

GRP has been set up by David Margrett, former Willis CEO, and Towergate founder Peter Cullum as a broker consolidation vehicle in the London market.

It has acquired Towergate Underwriting's Commercial property business for GBP 9.25 millilon. Together with Penta's investments, GRP has an investment, GRP has an investment fund of GBP 55 millions for future deals.

Eversheds advises Baird Capital on acquisition of consultancy company

Global law firm Eversheds has advised the UK arm of private equity group Baird Capital, on its purchase of a majority stake in Alpha Financial Markets Consulting (Alpha), a leading international provider of management consultancy services to the asset and wealth management industries. The transaction values the company at £28 million.

Shearman & Sterling Represents Francisco Partners in Avangate Acquisition

Shearman & Sterling represented Francisco Partners in the acquisition of Avangate. Financial terms of the transaction were not disclosed. Founded in 2006, Avangate is headquartered in Amsterdam, The Netherlands, with over 3,000 customers across more than 100 countries. Avangate provides eCommerce solutions trusted by Software, SaaS, and Cloud Services companies to grow their eCommerce business worldwide through any channel, any model. The additional investment from the deal will enable Avangate to expand product development and deliver enhanced customer-centric commerce.

HAECO's Acquisition of TIMCO Aviation Services, Inc.

Hong Kong Aircraft Engineering Company Limited (“HAECO”) has entered into a conditional stock purchase agreement for the acquisition of TIMCO Aviation Services, Inc. (“TIMCO”) for cash consideration of US$388.8 million, subject to closing adjustments. Cravath represented HAECO in connection with this transaction. TIMCO is a U.S.-based provider of aircraft maintenance, repair and other services. The acquisition is expected to be completed in the first quarter of 2014, subject to satisfaction of the conditions contained in the stock purchase agreement.

Addleshaw Goddard advises Andor Technology on two strategic international acquisitions in rapid succession

A Manchester-based team from international law firm Addleshaw Goddard has advised AIM-listed Andor Technology on its acquisition of two international businesses.

Andor Technology is a global leader in the development and manufacture of high performance scientific digital cameras for academic, industrial and government applications.

The Belfast-headquartered business, which has offices in China, Japan and the United States, acquired Apogee in the USA and Spectral Applied Research in Canada within 11 days of each other. Addleshaw Goddard advised Andor on both acquisitions.

Clifford Chance advises on AMC Networks' €750m acquisition of Chellomedia from Liberty Global

International law firm Clifford Chance has advised AMC Networks on its definitive agreement to acquire substantially all of Chellomedia, the international content division of Liberty Global, for EUR 750 million (approximately USD 1.035 billion). The transaction is expected to close in the first quarter of 2014.

Squire Sanders Advises Grafton Group plc on Key Acquisition

Squire Sanders has advised Grafton Group plc, the builders merchanting and DIY Group, on the acquisition of Brussels-based Binje Ackermans SA. The transaction is expected to close in the first quarter of 2014.

Grafton Group is the third largest builders merchant in the UK, trading under the Buildbase and Selco brands, and is among the top four plumbers merchanting businesses trading under the Plumbase brand. The Group also has operations in Ireland and Belgium.
