JEANTET ADVISED ALCHEMY PARTNERS ON ITS ACQUISITION OF YLDA GROUP

French international law firm Jeantet has advised Alchemy Partners and its investment fund Alchemy Special Opportunities in connection with the acquisition of YLDA Group, one of the European leaders in the portable toilets renting and production. The acquisition includes French brand and operating company Sebach France.

LBO France has been YLDA Group’s main shareholder along with other financial institutions including Banca Passadore and Banco Assoaglio so far.

Hogan Lovells NorCal Team Advises Walmart in US$16 Billion Majority Investment in Flipkart

International law firm Hogan Lovells advised retailer Walmart Inc. as lead transactional counsel in finalizing its acquisition of approximately 77 percent of Flipkart Group, India’s leading marketplace eCommerce platform, for an announced price of approximately US$16 billion.

Walmart is now the largest shareholder in Flipkart. This transaction is believed to be the biggest such e-commerce deal in history. Additional information on the transaction can be found here.

Debevoise Advises HarbourVest in the Proposed £1.2 Billion Take-Private Acquisition of esure

Debevoise & Plimpton LLP is advising HarbourVest Partners in its role in the proposed take-private acquisition of UK insurer esure.

The proposed acquisition represents a pricing of 280 pence per share, amounting to a total of £1.2 billion.

The deal sees Bain Capital act as the lead investor, with HarbourVest Partners acting as a minority investor alongside Lexington Partners and LGT.

Ropes & Gray represented Welsh, Carson, Anderson & Stowe, a leading healthcare investment firm, in its acquisition of Abzena plc, a Cambridge, UK-based biopharmaceutical services company. Under the terms of the acquisition, the deal is valued at approximately £34.4 million on a fully diluted basis, with Abzena shareholders entitled to receive 16 pence per share.

Private equity firm Mutares advised by CMS on acquisition of two subsidiaries from Knorr-Bremse

Munich – Listed private equity firm Mutares AG has acquired two UK subsidiaries from Knorr-Bremse AG, a leading manufacturer of braking systems. The transaction comprises two industrial service providers for rail vehicles, Knorr-Bremse RailServices (UK) Limited and Kiepe Electric Limited, which have production facilities in England and Scotland. Completion of the deal is expected in the autumn.
