Loyens & Loeff advised Cycle Link International on the acquisition of Waste Paper Trade

Loyens & Loeff advised Cycle Link International, a subsidiary of Shanghai based Shanying International Holdings Co. Ltd., which is one of China’s largest paper producers and packaging board manufacturers, on the acquisition of the Dutch company Waste Paper Trade (WPT) from its shareholders Karl Tönsmeier Entsorgungswirtschaft (Germany) and Lumaro Beheer (the Netherlands) which each held a 50% stake in WPT. Shanying is thereby strengthening its foothold in the European paper for recycling market.

Advising Ultimate Software Group on the US$300 million acquisition of PeopleDoc

Simmons & Simmons has advised Ultimate Software Group, a leading provider of human capital management solutions, on its acquisition of PeopleDoc for approximately US$300m. PeopleDoc is a Paris-based pioneer in HR service delivery, with additional offices in Germany, the UK, Finland, the Netherlands, Canada and the United States. PeopleDoc has more than 1,000 customers with users in 180 countries. The acquisition was completed on 27 July 2018.

Allen & Overy advises Saudi Aramco on the proposed acquisition of the remaining 50% stake in ARLANXEO joint venture from LANXESS

Allen & Overy LLP has advised the Saudi Arabian Oil Company (Saudi Aramco), the world’s leading integrated energy and chemicals company, on the proposed acquisition of LANXESS AG’s interest in ARLANXEO, a Netherlands-based specialty chemicals joint venture between Saudi Aramco and LANXESS launched in 2016.

Saudi Aramco’s proposed purchase of LANXESS’s 50% share in ARLANXEO, valued at EUR1.5 billion on an enterprise value basis, would result in Saudi Aramco owning 100% of ARLANXEO.

C.H. Beck Verlag acquires seminar provider AWA advised by Heuking Kühn Lüer Wojtek

Boris Dürr, Partner at Heuking Kühn Lüer Wojtek’s Munich office, advised C.H. Beck Verlag on the acquisition of AWA-AUSSENWIRTSCHAFTS-AKADEMIE GmbH. Beck Verlag took over all shares from AWA’s former shareholders. Following the acquisition, AWA will continue to operate under the previous company name with extended management. With this acquisition, Beck Group is expanding its training offering, which already includes seminar providers such as Beck Academy, MWV Seminare, and AWS Working Group for Economic and Tax Law.
 

Allen & Overy advises on one of Southeast Asia’s largest agribusiness acquisitions

Allen & Overy has advised Pilmico International (Pilmico), the food subsidiary of Philippine conglomerate Aboitiz Group, on its approximately USD400 million acquisition of a 75% stake in one of Asia’s largest agribusinesses, Gold Coin (which operates 20 livestock and aqua feed mills across 11 countries in Asia).

The transaction is considered the largest outbound acquisition from the Philippines and the largest agribusiness acquisition in Southeast Asia in the last few years.

DWF advises co-founder on reacquisition of motorcycle and cycle accessories brand

DWF Manchester has advised the co-founder of a global motorcycle and cycle accessories brand Renthal on buying back the business 12 years after he sold it to a US group.

Motorcycle enthusiasts Henry Rosenthal and Andrew Renshaw established Renthal in 1969, initially making handlebars for trials bikes. The company’s name is a blend of the duo's surnames. They sold Renthal in 2006 to Motorsport Aftermarket Group.

MinterEllison advises on acquisition of Oroton

MinterEllison has advised on the acquisition of iconic Australian retail brand Oroton by Manderrah, an entity controlled by Will Vicars, pursuant to a Deed of Company Arrangement (DOCA).

Oroton was listed on ASX and has over 50 stores across Australia and Asia.

The MinterEllison team successfully engaged with Oroton's Administrators to secure the purchaser an exclusive arrangement to acquire 100% of Oroton, following which the firm navigated court and regulatory approvals efficiently to ensure a smooth acquisition.

NEXTCLINICS advised by CMS team on acquisition of IVF-Zentren Prof. ZECH, a group of clinics for reproductive medicine

Stuttgart – NEXTCLINICS INTERNATIONAL GmbH has acquired IVF-Zentren Prof. ZECH, a group of private clinics specialising in reproductive medicine. The transaction is currently awaiting approval from the Austrian competition authorities. The parties agreed not to disclose details of the purchase price.
