Global law firm White & Case LLP has advised Sony Corporation ("Sony") on its agreement to acquire all of the equity interest in EMI Music Publishing ("EMI") held by a consortium of investors led by Mubadala Investment Company ("Mubadala"), a global investor owned by the Abu Dhabi government.

TLT advises ExamWorks UK on Kindertons acquisition

TLT has advised ExamWorks UK, a leading provider of medical report and rehabilitation services, on a multi-million pound acquisition (subject to regulatory approval) of the Kindertons Group, a market leader in the accident management and mobility segment.

ExamWorks UK is part of the global ExamWorks family of companies, a market leading provider of independent medical examinations and related services in the USA, Canada, the UK and Australia, with global revenues of $1.2bn and 4,800 employees. It is backed by US private equity house Leonard Green & Partners.

WFW advises Finatem on GFT acquisition

Watson Farley & Williams (“WFW”) has advised Finatem, a leading independent private equity firm focussing on investing in German “Mittelstand” companies, on its acquisition of Gothaer Fahrzeugtechnik GmbH (“GFT”), a manufacturer of highly specialised products for the crane and construction industry. The parties have agreed not to disclose further details of the transaction.

Sony to Acquire EMI Music Publishing for $2.3 Billion

Cleary Gottlieb is acting as antitrust counsel to Sony Corporation in its acquisition of EMI Music Publishing.

Sony Corporation has agreed to buy a controlling stake in EMI Music Publishing for $2.3 billion, in a deal announced on May 22, 2018.

Sony Corporation is a leading manufacturer of audio, video, game, communications, key device and information technology products for the consumer and professional markets.

EMI Music Publishing is the second largest music publishing company by revenue.

Kirkland & Ellis Advises Material Handling Systems, Inc., on Acquisition of VanRiet

Kirkland & Ellis is advising Material Handling Systems, Inc., a portfolio company of Thomas H. Lee Partners, in its pending acquisition of VanRiet Material Handling Systems from Avedon Capital Partners and management, for an undisclosed sum. VanRiet, headquartered in the Netherlands, is a leading global provider of integration systems, equipment and after-market services solutions. The transaction was announced on May 22, 2018.

The Kirkland team was led by Chicago-based corporate partner Ted Frankel and London-based corporate partner Andrej Wolf and associate Andy Gray.

CMS ADVISES CCC GROUP ON THE ACQUISITION OF THE MAJORITY STAKE IN KARL VÖGELE AG, UZNACH

Zurich – The CCC Group has signed an agreement to acquire 70% of the shares in Karl Vögele AG, Uznach. Simultaneously, Max Manuel Vögele, executive Chairman of the Board of Directors, increases his stake in Karl Vögele AG, Uznach from 10% to 30%. The transaction is expected to close by the end of the first half of 2018.

CMS advises CMP on acquisition of MN Coil Servicecenter

Berlin – A fund managed by CMP Capital Management-Partners GmbH has acquired MN Coil Servicecenter GmbH. The parties agreed not to disclose the purchase price.

A Berlin-based CMS team headed by Corporate partner Dr Eva Annett Grigoleit advised CMP on all legal aspects of the transaction together with Dr Robert Thamm, General Counsel of CMP’s investment advisor. CMP is a longstanding client of CMS Germany and is regularly advised by CMS on company sales and acquisitions in particular.

CMS advises British firm Jardine Lloyd Thompson Group on acquisition of Hamburg-based OWL Marine Insurance Brokers

Cologne – UK company Jardine Lloyd Thompson Group plc has acquired all the shares in Hamburg-based OWL Marine Insurance Brokers GmbH & Co. KG. The deal enables the London-based insurance broker to expand its portfolio of marine and transport insurance products. The parties agreed not to disclose the transaction value.

A CMS team headed by lead partner Dr Petra Schaffner advised Jardine Lloyd Thompson on all legal aspects of the transaction. In addition to due diligence, the advice related to drafting and negotiating all the agreements associated with the deal.
