WFW advises SERI on the sale of ITE to Serenissima

Watson Farley & Williams (“WFW”) advised Seri Industrial S.p.A. (“Seri”), through its subsidiary Tolo Energia S.r.l., on the sale of Idroelettrica Tosco Emiliana S.r.l. (“ITE”) to Serenissima SGR S.p.A.

ITE owns the Lucchio hydropower plant in the central Italian region of Tuscany as well as the Saltino site in Emilia-Romagna in the north east. The plants have a total installed capacity of 4 MW.

Serenissima SGR S.p.A. is an asset management company based in Verona, promoting and managing closed-end investment funds.

Hill Dickinson advises SalvaRx Group plc on US$67.5m disposal and demerger

Hill Dickinson's corporate team has advised SalvaRx Group plc (AIM: SALV) (SalvaRx), a drug development company focused on acquiring and operating drug development programmes in immuno-oncology, on the completion of the sale of its 94.2 % interest in its subsidiary, SalvaRx Limited, to Portage Biotech Inc. (Portage), a public company whose shares are traded on the Canadian Stock Exchange and the US OTC market, for a total consideration of US$67.5m, being satisfied by the issued of Portage Shares to the shareholders of SalvaRx.

Leading commercial law firm Hill Dickinson, led by its chairman Jonathan Brown and head of the Manchester corporate team Ian Gillis, advised Stobart Group Limited in connection with the offer made on 11 January 2019 for the entire issued and to be issued share capital of Flybe Group plc by Connect Airways Limited.

Connect Airways Limited is a joint venture company owned 40% by funds managed by Cyrus Capital, 30% by Stobart Aviation Limited (a wholly owned subsidiary of Stobart Group Limited) and 30% Virgin Atlantic.

Macfarlanes advises Wimbledon Park Golf Club on £65m sale to the All England Lawn Tennis Club

Macfarlanes has advised the Wimbledon Park Golf Club Limited, a company limited by guarantee, on the £65m sale of the club to the All England Lawn Tennis Ground plc, as part of the tennis club’s ambitious plans to triple the size of its complex.

The transaction was structured as a scheme of arrangement under the Companies Act 2006, with each member receiving approximately £85,000 in cash (with a loan note alternative available for up to £60,000).

CMS team supports VR-LEASING in the sale of BFL Leasing to BAWAG Group

Frankfurt/Main – Austrian BAWAG Group has signed a definitive agreement to acquire BFL Leasing GmbH from BFL Gesellschaft des Bürofachhandels mbH & Co. KG. VR-LEASING AG is the majority shareholder in BFL. All parties have agreed not to disclose the purchase price. The final closing of the transaction is still subject to approval by the antitrust and financial services regulatory authorities.

A CMS team headed by lead partner Dr Oliver C. Wolfgramm provided VR-LEASING with comprehensive legal advice on all transaction-related issues.

Dentons is advising Tongchuangjiuding Investment Management Group Co., Ltd ("JD Group" or "Jiuding"), on its HK$21.5 billion (US$2.74 billion) disposal of its 100% equity interest in FTLife Insurance Company Limited ("FTLife") to NWS Holdings Limited (0659.HK), the infrastructure, logistics and transport services unit of conglomerate New World Development Limited (0017.HK). Jiuding previously acquired FTLife from Ageas, a Brussels-based insurance firm for US$1.4 billion back in 2016. FTLife is one of Hong Kong's biggest life insurance firms.
