Bär & Karrer Advises Syngenta on the All Cash Offer of ChemChina to Acquire Syngenta for over US$ 43 billion

On February 2, 2016, China National Chemical Corporation, People's Republic of China and Syngenta AG, Switzerland, signed a transaction agreement pursuant to which ChemChina will launch an all cash public tender offer for Syngenta. The deal is one of the largest all cash transactions ever.

 The offer will comprise a Swiss offer for all publicly held registered shares and a U.S. offer for all American Depositary Shares (ADS) of Syngenta AG. The two offers will commence in the coming weeks and the transaction is expected to close in 2016.

Stephenson Harwood LLP has advised longstanding client AIM Group Ltd (AIM Group) on its £182 million cross border sale to Liberty Hall Capital Partners (Liberty Hall).

A part of UK based AIM Group, AIM Aerospace was founded in Renton, Washington State, in 1988 and is a leading, independent supplier of composite ducting, substructural and interiors parts for the commercial aerospace industry.  The company boasts an impressive customer base including The Boeing Company, Kawasaki Heavy Industries, Spirit AeroSystems and B/E Aerospace.

Mayer Brown advised Avedon Capital Partners on the sale of GRW Bearing GmbH to US aerospace and industrial distribution company Kaman Corporation. The purchase price was approximately EUR 135.2 million, net of cash.

GRW Bearing GmbH is active in the field of development and manufacturing of high precision miniature and instrument bearings. With headquarters in Rimpar (Germany), assembly facilities in Prachatice (Czech Republic) and direct sales offices in the USA GRW has more than 500 employees.

Vanadis Diagnostics AB has been sold to PerkinElmer, Inc. Based in Sweden, Vanadis is developing a novel solution for non-invasive prenatal testing (NIPT) based on digital analysis of cell-free DNA.
