Macfarlanes has advised The Royal Bank of Scotland plc on the sale of its interest in Cairn Capital Group Limited (Cairn Capital) to Mediobanca S.p.A., Italy’s leading investment bank. Cairn Capital is an independent London-based full service credit asset management, advisory and securities restructuring firm, established in 2004.

The Macfarlanes team was led by corporate partner James Dawson.

WFW advises motorway service area provider Tank & Rast on sale to consortium

Watson Farley & Williams (“WFW”) has advised the Tank & Rast group (“Tank & Rast”), a leading provider of German motorway service areas, in connection with its sale to a consortium formed by Allianz Capital Partners GmbH, Borealis Infrastructure Management Inc., Infinity Investments SA( a wholly-owned subsidiary of the Abu Dhabi Investment Authority), and MEAG, Munich Re (Group)’s asset manager.

Taylor Wessing advises Electra Partners on the £145 million sale of Nuaire

Taylor Wessing has advised its client Electra Partners and the shareholders, on the sale of ventilation systems manufacturer Nuaire to Polypipe Group plc, a London Stock Exchange-listed manufacturer of plastic piping systems. The total value of the deal is approximately £145 million and completion is expected in August.

Linklaters advises HSBC on the US$5.2bn sale of its Brazilian business to Banco Bradesco

Linklaters has advised HSBC Latin America Holdings (UK) Limited on the sale of its entire business in Brazil to Banco Bradesco S.A.

The deal, which was run as an auction process, is subject to regulatory approvals from BACEN (the Brazilian central bank), CADE (the Brazilian competition authority) and SUSEP (the Brazilian insurance regulator) along with regulatory approval for the Cayman branch.

The Linklaters team was led by corporate partners Aedamar Comiskey and Nicola Mayo in London and Alberto Luzárraga in Sao Paulo.

P+P advised Brockhaus Private Equity on complete sale of 360T to Deutsche Börse

P+P assisted the Brockhaus Private Equity II fund on the sale of the participation it held until recently in 360 Treasury Systems AG (360T) – a leading provider of web-based trading technology for trading financial instruments outside of the stock market, primarily for currency trading – to Deutsche Börse AG.

The closing is subject to regulatory approvals.

Roschier global lead IP and technology counsel to Nokia in the sale of HERE to automotive industry consortium

Roschier acts as the global lead IP and technology counsel when Nokia completes the next stage of its transformation and sells HERE digital mapping and location services business to an automotive industry consortium comprising AUDI AG, BMW Group and Daimler AG.  The transaction values HERE at an enterprise value of EUR 2.8 billion.

In its role Roschier contributed to resolving key strategic intellectual property issues together with Nokia's excellent IP Business team and leadership.

Slaughter and May is advising Chime Communications - proposed acquisition by Bidco

Slaughter and May is advising Chime Communications plc (Chime) on its acquisition by Bell Bidder Limited (Bidco), an entity controlled by funds managed by Providence Equity Partners. The recommended offer was announced on 31 July 2015 and values Chime at approximately £374 million. Under the terms of the offer, Chime shareholders will be entitled to receive 365 pence in cash for each Chime share held.

Hengeler Mueller advises Sellers on sale of 360T to Deutsche Börse

The shareholders of 360T Beteiligungs GmbH (“360T”) have entered into an agreement with Deutsche Börse AG on the complete sale of 360T to Deutsche Börse AG for a total purchase price of €725m. 360T was founded in 2000 and is a leading global provider of web-based trading technology. Closing of the transaction is subject to approval by regulatory and competition authorities.
