Majority stake in Petrol Industries sold to Vendis Capital

NautaDutilh assisted the founders and management of Petrol Industries with the auction sale of a majority stake in Petrol Industries to Vendis Capital, and their reinvestment in Petrol Industries alongside Vendis Capital. Petrol Industries is a quality fashion brand for men and children with a Pan-European footprint founded in 2005 and headquartered in Tilburg, the Netherlands.

Freshfields advises on sale of Eversholt Rail

Freshfields Bruckhaus Deringer has advised a consortium including 3i Infrastructure and STAR Capital Partners on an agreement to sell the consortium’s entire interests in Eversholt Rail Group to CK Investments S.A R.L. CK Investments is jointly owned by Cheung Kong Infrastructure Holdings Limited and Cheung Kong Holdings Limited.

The transaction has an equity value of approximately £1.1 billion and an enterprise value of approximately £2.5 billion. It is anticipated that the transaction will close in March 2015.

White & Case Advises Metso Corporation on Sale of Process Automation Systems to Valmet Corporation

White & Case LLP is advising Metso Corporation, a leading minerals processing and flow control technology and services supplier for the mining, oil and gas and aggregates industries, on the sale of its Process Automation Systems (PAS) business to Valmet Corporation. The enterprise value of the transaction is €340 million.

The private equity investor Afinum acquired camano GmbH & Co. KG (camano) from family Moissl. The financing was provided by Afinum Siebte Beteiligungsgesellschaft mbH & Co. KG, a private equity fund managed by Munich Afinum Management GmbH.

Paul Hastings Advises Hanwha Q CELLS in US$1.2 Billion Sale to and Merger with Hanwha SolarOne

Paul Hastings is representing Hanwha Solar Holdings Co., Ltd. (“HSH”) and Hanwha Q CELLS Investment Co., Ltd. (“Q CELLS”), in entering into a definitive share purchase agreement with Hanwha SolarOne Co., Ltd. (“Hanwha SolarOne”) to create a new global leader in solar power. Under the terms of the agreement, Hanwha SolarOne (Nasdaq: HSOL) will acquire Q CELLS and as consideration therefor, issue new shares of Hanwha SolarOne to Q CELLS’s sole shareholder, HSH.

Tradition meets stock exchange: Grain trading company Mackprang after 136 years of family ownership now part of family-managed agricultural company KTG Agrar

Heuking Kühn Lüer Wojtek advised the owners of the traditional Hamburg grain trading company Mackprang (C. Mackprang jr. GmbH & Co. KG) on the sale of its shares to Hamburg-based agricultural group KTG. The 136-year-long family history of the successful specialist for the importing and exporting of malting barley, bread cereals, canola meal, and other agricultural products ended in January 2015. Mackprang's most recent annual revenue stood at EUR 230 million.
 

Travers Smith advises on sale of Bridge Leisure

A Travers Smith team led by head of private equity, Paul Dolman has advised the selling shareholders of UK holiday park operator, Bridge Leisure, on the sale of its business to UK mid-market private equity firm Phoenix Equity Partners ("Phoenix").

The Travers Smith team also included tax partner Russell Warren, corporate associates Ian Keefe and Katie McGarry, tax associate Andrew Callaghan and finance associate Jamie Parish.

Hemel Hempstead based NPS is an integrated software, outsourcing and IT services business with in-depth experience in the public sector developed since 1969. Clients include government departments and agencies, local authorities, emergency services, public health bodies, transport providers and utilities as well as housing providers in the UK and internationally.
