Ashurst advises Verdant Minerals on its recommended acquisition by CD Capital

International law firm Ashurst is advising Verdant Minerals Ltd ('Verdant') on its recommended acquisition by UK private equity firm CD Capital Natural Resources Fund III LP ('CD Capital').

Verdant and CD Capital have entered into a scheme implementation agreement, pursuant to which CD Capital will acquire 67% of the issued shares in Verdant. Washington H. Soul Pattinson and Company Limited ('WHSP') is not participating in the scheme, and will remain as minority shareholder alongside CD Capital post-implementation.

Milbank Advises PTV Planung Transport Verkehr AG on Sale of Majority Stake in PTV Truckparking B.V. to Volkswagen Financial Services

The international law firm Milbank LLP has advised PTV Planung Transport Verkehr AG on the sale of its majority stake in PTV Truckparking B.V. to Volkswagen Financial Services. Volkswagen Financial Services acquires 75.1 percent of the shares in the company and aims to strengthen its market position in the strategic parking business segment, increase synergies and further extend existing offers with point-of-interest data.

DLA Piper advises on £255 million takeover of Manx Telecom

DLA Piper is advising AIM listed telecommunications provider, Manx Telecom plc, on its proposed takeover by Kelion Bidco for a total cash consideration of approximately £255.9 million.

Kelion Bidco is a newly incorporated company owned by infrastructure investment vehicle Basalt Infrastructure Partners.

Under the terms of the acquisition, Manx shareholders will receive 207.1 pence in cash, plus a dividend of 7.9 pence per share, giving a total entitlement of 215 pence per share.

Perth, 12 March 2019: Clayton Utz is advising ASX-listed resources company Gindalbie Metals Limited (ASX:GBG) on two key transactions.

The first is to demerge Gindalbie's wholly owned subsidiary, Coda Minerals, and the second is Gindalbie's acquisition by its Chinese joint venture partner and major shareholder, Angang Group Hong Kong (Holdings) Limited (Ansteel).

The transactions will be implemented by way of two inter-conditional schemes of arrangement.  The transactions were announced to the market yesterday.

Gilbert + Tobin has advised Shaw and Partners Limited (Shaw and Partners) on the sale of 51 per cent of its shares to SIX Swiss Exchange-listed EFG International and associated shareholder arrangements.

The transaction, announced today, represents a significant milestone for Shaw and Partners and adds broad international reach to the investment and wealth management firm which currently has c. $16 billion of funds under advice.

DLA Piper advises on the sale of Synseal Group in job-saving deal

DLA Piper has advised KPMG administrators, Chris Pole and Mark Orton, in connection with the sale of Synseal Group, to Aperture Trading, saving more than 1,000 jobs.

Synseal Group is a manufacturer and supplier of fenestration products headquartered in Huthwaite. Following the sale, which comprised the Group's six businesses, 1,016 employees and seven leasehold sites have transferred to Aperture.
