HFW advises Greek Government on EUR 400 million sale of gas utility company to SOCAR

Energy specialist firm HFW has advised the Hellenic Republic Asset Development Fund on the privatisation of the Greek national gas transmission system operator, DESFA.

The disposal of the Greek State's stake in DESFA is part of the multi-billion privatisation programme being implemented by the Greek Government.

The transaction was accompanied by a restructuring of CPI Group’s financial indebtedness, which reduced the company’s debt to €15m.

Terra Firma - sale of Carmel Capital II and refinancing of Phoenix Natural Gas

Slaughter and May advised Terra Firma on its sale of Carmel Capital II S.à r.l., including its wholly owned subsidiary Phoenix Natural Gas Limited, to Hastings' managed fund Utilities Trust of Australia and The Royal Bank of Scotland Group Pension Fund.
 
Slaughter and May also advised Phoenix Natural Gas Limited on the refinancing of its existing bank facilities with National Australia Bank Limited.

Intuit, Inc. has sold its Financial Services division, or IFS, to Thoma Bravo, a leading middle-market private equity firm, in a transaction valued at $1.025 billion. The sale allows Intuit to focus on its flagship products and services that provide business and financial management solutions for small and mid-sized businesses; financial institutions, including banks and credit unions; consumers and accounting professionals and reestablishes the IFS division as a stand-alone company.

Freshfields advises Invensys on £3.4bn public takeover by Schneider Electric

International law firm Freshfields Bruckhaus Deringer has advised British engineer Invensys on a recommended offer by France’s Schneider Electric to acquire the entire issued and to be issued ordinary share capital of Invensys.

The offer is to be effected by means of a scheme of arrangement and is subject to shareholder approval. It is intended to help boost the integrated company's position as a global leader in software provision.

Osborne Clarke is acting for the owner of Absolute Radio, The Times of India Group, on its proposed disposal of Absolute Radio to Bauer Media, subject to regulatory approval. Bauer Media currently owns several other radio stations, including the popular UK stations Kiss and Magic.

The Times of India is part of Bennett, Coleman and Co. Limited, India’s largest media group.
