McCann FitzGerald Advises on Sale of Generali Worldwide Operation

We acted as Irish counsel for Generali on the sale of Generali Worldwide Insurance Company Limited and Generali Link Limited. 

Generali Worldwide is a Guernsey-based provider of life insurance-based wealth management solutions and contributed about €35m euros to Generali group’s operating result last year. Generali Link, based in Ireland, is a shared-service provider focused on fund and policy information.  The agreement will ultimately be worth around €409 million to Generali, with a further €10 million potentially payable on completion.

Osborne Clarke advises implexis on sale to Hitachi Solutions

Osborne Clarke has advised implexis GmbH on its sale to Hitachi Solutions.

Implexis is the German retail Microsoft Dynamics 365 specialist – the company integrates ERP systems in multi-channel retailing companies and uses end-to-end software to enhance transparency for collaboration processes. Implexis was founded in 1993 and has 250 staff across five locations in Germany. It has successfully completed over 950 projects mainly in the retail sector.

HFW Continues M&A Run With Advice On Major Logistics Deal

Global, sector-focused law firm HFW has continued its run of M&A deals, advising The Pallet Network (TPN) on its £52.8 million sale to Eddie Stobart Logistics plc by mid-market private equity firm LDC.

TPN is the UK's leading provider of pallet distribution services. LDC backed the original management buyout of TPN in 2007, before reinvesting in the business in 2016. TPN's revenue has more than trebled since LDC's original investment.

Abry Partners II Sells Basefarm Holding to Orange

London – Paul Hastings LLP, a leading global law firm, announced today that the firm has represented Abry Partners II, LLC, the media, communications, business and information services focused private equity investment firm, on its disposal of Basefarm Holding AS to the Orange Group for a total consideration of €350 million. This is Paul Hastings’ second deal this month for Abry, following their acquisition of Link Mobility Group.

Norton Rose Fulbright advises Bank of Cyprus on sale of UK subsidiary to Cynergy consortium

Global law firm Norton Rose Fulbright has advised Bank of Cyprus Public Company Limited (BOC) on the £103 million sale of its wholly-owned subsidiary bank in the UK, BOC UK Limited, to Cynergy Capital Limited (Cynergy). The purchase price is subject to customary adjustments and completion is expected to be achieved by the end of 2018, subject to approval by the regulators of both BOC and BOC UK.

Trowers & Hamlins advises on the sale of Fourpure to Lion Pty

International law firm Trowers & Hamlins has advised founders Daniel and Thomas Lowe, on the sale of Fourpure, the Bermondsey based craft brewer brand, to the UK subsidiary of Lion Pty, a large international FMCG company based in Australia.

Set up by brothers Daniel and Thomas Lowe in 2013, Fourpure supplies brands including Session IPA and Pils Lager to larger stores such as Marks & Spencer and Tesco as well as independent outlets.
