musical.ly to Be Acquired by Bytedance

Simpson Thacher is representing musical.ly, a mobile platform for short form video, in connection with its merger into Bytedance, the Chinese online media giant (a/k/a “Toutiao”), at a price close to US$1 billion. After the closing of the transaction, musical.ly, being a wholly owned subsidiary of Bytedance, will continue to operate as an independent platform, integrating Bytedance's AI technology and leveraging its reach in China and key markets across Asia to enhance musical.ly's offering to users, creators and partners.

Freshfields advises Unimin Corporation on its forthcoming merger with Fairmount Santrol

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) has advised Unimin Corporation, a wholly owned subsidiary of Sibelco, on its forthcoming merger with Fairmount Santrol, a leading provider of high-performance silica sand. The deal consideration consists of a mix of stock and cash. Unimin will list its stock on the New York Stock Exchange in connection with the transaction.

Macfarlanes advises Regal Entertainment on acquisition by Cineworld Group

Macfarlanes has advised leading US motion picture exhibitor Regal Entertainment Group on its definitive merger agreement with the UK’s largest cinema operator Cineworld Group plc for a total transaction value of $3.6bn.

The transaction, which will create the second largest cinema operator in the world, is subject to approval by the shareholders of Regal and Cineworld and is expected to close in the first quarter of 2018.

Dentons has advised media management agency, Troika, on its merger with media management and professional services agency the James Grant Group (JGG or the Group).

Troika, founded in 2005 by partners Michael Duff, Melanie Rockcliffe and Conor McCaughan, represents over 300 clients ranging from UK television personalities Graham Norton, Matt Lucas and David Walliams, to global actors Michael Fassbender and Lena Headey.

Slaughter and May is advising innogy on the merger of Npower with SSE’s domestic retail operations in Great Britain

Slaughter and May is advising innogy on the merger of Npower with SSE’s domestic retail operations in Great Britain to form a major, independent British retail energy company.  Following completion, innogy will own 34.4 per cent and SSE shareholders will hold 65.6 per cent of the combined retail company, which will be listed on the London Stock Exchange.

The transaction is subject to the approval of the supervisory board of innogy and of SSE’s shareholders, as well as approval by competition and regulatory authorities.

Siemens and Alstom have signed a Memorandum of Understanding to combine Siemens' mobility business including its rail traction drives business, with Alstom. The transaction brings together two innovative players of the railway market with unique customer value and operational potential. The two businesses are largely complementary in terms of activities and geographies. Siemens will receive newly issued shares in the combined company representing 50 percent of Alstom's share capital on a fully diluted basis.
