Arntzen de Besche assists Stiftelsen SINTEF

Arntzen de Besche assists Stiftelsen SINTEF in the merger of Norsk Marinteknisk Forskningsinstitutt AS (Stiftelsen SINTEF owns 56 %) and SINTEF Fiskeri og Havbruk AS (Stiftelsen SINTEF owns 96 %) as well as in the transfer of one of Stiftelsen SINTEF’s departments to the merged entity.

The name of the merged entity will be SINTEF Ocean AS and the entity will have about 340 employees and a turnover of approximately 500 million. SINTEF’s ambition is to strengthen its position as a world leading research community within marine technology and biomarine research.

BLP advises CBRE Global Investors on new flagship £1.4bn fund

International law firm Berwin Leighton Paisner (BLP) has advised CBRE Global Investors on the merger of the CBRE UK Property Fund and the Electricity Supply Pension Scheme property portfolios to create a £1.4bn flagship fund, called the CBRE UK Property PAIF.

The creation of this PAIF is reflective of the appetite of investors for scale and simplicity and is regulated by the Financial Conduct Authority (FCA).

DLA Piper secures victory for DTS Inc. in merger with Tessera Technologies

DLA Piper represented DTS, Inc., an audio solutions provider specializing in digital surround sound formats, in defeating a motion for a temporary restraining order to enjoin the shareholder vote on a merger with Tessera Technologies, Inc., a leader in innovating and licensing technology and intellectual property. The deal is valued at US$850 million.

Shearman & Sterling Advises on India Direct-to-Home Merger

Shearman & Sterling acted as international counsel to Indian direct-to-home service providers Dish TV and Videocon d2h (Vd2h) on their merger to form a new entity, Dish TV Videocon Ltd.

Dish TV Videocon will have revenue of about 59.16 billion rupees ($879.11 million) and net subscribers of 27.6 million, becoming the biggest player in India's fast-growing direct-to-home operator market.

Hogan Lovells advises EPCOS on its merger with Tronic's Microsystems and its agreements with Thales Avionics

EPCOS AG, a German subsidiary of the Japanese company TDK, is launching a tender offer on Tronic's Microsystems, a company listed on Alternext. The tender offer was approved by the Autorité des Marchés Financiers on 3 November 2016 and was opened on 10 November 2016 following the authorisation of the Ministry of Economy regarding the control of foreign investments.

Merger between Metroxpress and BT

The newspapers Metroxpress and BT have entered into an agreement to merge into a new company. Plesner advised Metroxpress on the merger.
BTMX will be the name of the new media company that will be behind Metroxpress and BT in future. The merger means that the editorial staff of the two newspapers will be integrated, but that both Metroxpress and BT will continue, at least for the time being, as independent newspapers both in print and digitally.

Charles Russell Speechlys advises on the merger of Kolak Snack Foods Limited with Europe Snacks

Charles Russell Speechlys has advised the shareholders and members of management on the merger of Kolak Snack Foods with Europe Snacks to create a €250m business employing approximately 1,400 people.

Founded in 1984, Kolak is a British market leader specialising in own label manufacturing in the savoury snacks market.  Kolak operates two production sites close to London and employs over 1,000 people.
