HeidelbergCement and Kongsvinger merge precast concrete activities

HeidelbergCement Northern Europe (HCNE) and KB Gruppen Kongsvinger (KBG) have agreed to merge Abetong and Contiga, the precast concrete activities of the two companies, respectively. The Abetong and Contiga brands will continue to operate in parallel in the new combined entity which will be active in Norway, Sweden, Denmark, Germany, Poland and Latvia. HCNE will be the majority shareholder in the new entity which had pro forma revenues in 2014 of 3.3 billion SEK. The deal is subject to approval from the relevant competition authorities.

NXP Semiconductors to Merge with Freescale Semiconductor

Simpson Thacher represented NXP Semiconductors N.V. (NASDAQ: NXPI) in connection with its announced merger with Freescale Semiconductor, Ltd. (NYSE: FSL), a transaction which values the combined enterprise at just over $40 billion. Under the terms of the agreement, Freescale shareholders will receive $6.25 in cash and 0.3521 of an NXP ordinary share for each Freescale common share held at the close of the transaction.

Wragge Lawrence Graham & Co advises AIM-quoted Ambrian plc on its international merger

Wragge Lawrence Graham & Co's Corporate team has advised longstanding client and AIM-quoted Ambrian plc on its merger with Consolidated General Minerals plc (CGM).

The principal asset of CGM, which de-listed from AIM three/four years ago, is a clinker grinding and cement packing operation in the port of Beira, Mozambique. With an installed capacity of approximately 800,000 tons per annum, the US$42 million cement plant is expected to commence production in April 2015.

Sorin S.p.A., a Milan, Italy-based global medical device company and a leader in the treatment of cardiovascular diseases, and Houston-based Cyberonics Inc., a medical device company with core expertise in neuromodulation, have announced their merger plan to create a new global leader in medical technologies with a combined equity value of approximately $2.7 billion (€2.4 billion) based on the closing price of Sorin and Cyberonics shares on February 25, 2015.

Allen & Overy has advised OCI N.V. on the demerger of its engineering and construction business from its fertilizer and chemicals business (the Demerger).

The demerged business, Orascom Construction Limited (Orascom Construction), will be dually listed on NASDAQ Dubai and the Egyptian Exchange (EGX) as a global engineering and construction company. OCI N.V. will continue to be listed on the Euronext Amsterdam as a global producer of nitrogen fertilizers, methanol and other natural gas based chemical products.
