Baker & McKenzie Acts on Healthcare Consolidation

Baker & McKenzie has acted for Lake Imaging on the merger of the Australian radiology companies Lake Imaging and South Coast Radiology. The new group, also comprising the recent acquisition of Global Diagnostics, has become the fourth largest business in the country’s $3 billion diagnostic imaging market.

As part of the merger private equity group, Advent Private Capital has taken a meaningful stake in the merged group.

Davis Polk Advises Its Millicom on Completed $4.4 Billion Business Combination and $240 Million Acquisition in Colombia

Davis Polk advised Millicom International Cellular S.A. (Millicom) in connection with the $4.4 billion combination of its Colombian telecommunications business, conducted through its subsidiary Colombia Móvil S.A. (Colombia Móvil), with UNE EPM Telecomunicaciones S.A. (UNE), a subsidiary of Empresas Públicas de Medellín E.S.P. (EPM). The transaction was completed on August 14, 2014.

KKR's Alliance Boots in Strategic Merger with Walgreens

Simpson Thacher represented Kohlberg Kravis Roberts & Co. L.P. in connection with Walgreen Co.’s (NYSE: WAG) announcement that it has exercised its option to complete the second step of its strategic transaction with Alliance Boots. The transaction, subject to shareholder and various regulatory approvals, would fully combine the two companies to form the first global pharmacy-led, health and well-being enterprise under the name Walgreens Boots Alliance.  The transaction is expected to close in the first quarter of 2015.

Shoosmiths leads on merger for top clinical research firm ORION

Osborne Clarke is assisting long-standing client Carphone Warehouse Group plc (Carphone) with its £3.6 billion recommended all-share merger with Dixons Retail plc.

The merged entity, which will be called “Dixons Carphone plc”, will create a leader in European consumer electricals, mobiles, connectivity and related services, with Carphone's Sir Charles Dunstone and Roger Taylor remaining as Chairman and Deputy Chairman respectively of the combined group.

Global Entertainment AG, an immediate 100 percent subsidiary of NASDAQ-listed Global Eagle Entertainment Inc., has successfully completed, as principal shareholder, the group-specific squeeze-out of Advanced Inflight Alliance AG (AIA) in the context of an assumption of all assets and liabilities. The minority shareholders of AIA were thereby excluded in return for cash compensation.
