Shearman & Sterling represented Goldman Sachs International, BNP Paribas, Deutsche Bank, Banca Akros S.p.A. Gruppo Banco BPM, Banca IMI and Raiffeisen Bank International on KME AG’s €300 million offering of its 6¾% senior secured notes due 2023. The offering, which was conducted pursuant to Rule 144A and Regulation S under the U.S. Securities Act, closed on February 9, 2018. The proceeds of the offering will be used to, among other things, repay certain outstanding debt under the existing credit facility, to repay in full and cancel certain group loans and for general corporate purposes.
The issuer is a pan-European industrial group and one of the global market leaders in copper and copper alloy products. The issuer transforms copper into semi-finished and finished products for general and specialized applications by a wide range of end users and industries at 13 production facilities (including JVs) located in Germany, France, Italy, Spain, China and the United States.
