Advising Actief Interim on the acquisition of AB Zeitpersonal

13 Dec 2017

Simmons & Simmons advises Actief Interim on its acquisition of AB Zeitpersonal GmbH

Simmons & Simmons has advised Actief Interim, one of the largest independent temporary employment agencies for Benelux, on its acquisition of AB Zeitpersonal GmbH, an Oberhausen based regional temporary employment provider with strong presence in the Western and Central part of Germany. This is the third acquisition in Germany for Actief Group following the purchase of ISU Group (2015) and the TimeCraft Group (2017) – all of them advised by the team in Germany.

The acquisition strengthens Actief Group’s footprint in Germany and adds a strong complementary company with a solid client base to its portfolio. Following this transaction Actief Group will realize over EUR 600m of yearly sales spread across Belgium, Germany and The Netherlands. Actief Interim is a portfolio company of private equity investor Gilde Equity Management.

Lead partner Christian Bornhorst, Simmons & Simmons Düsseldorf, commented on the transaction: ‘‘We were pleased to advise Actief Interim for the third time over the past few years on a challenging acquisition. This project underpins our strength and efficiency in handling cross-border M&A transactions and evidences our growing engagement in the Private Equity Sector also in Germany. And, as always, the seamless cooperation of our German and Dutch teams was a great experience.”

The German Simmons & Simmons team included: Christian Bornhorst (Lead, Corporate/M&A), Marc Urlichs (Corporate/M&A), Anja Schlichting (Corporate/M&A), Martin Gramsch (Antitrust), Sebastian Petrack (IP), Steffen Nguyen-Quang (Employment) and Lara Unverricht (Employment). In the Netherlands Leo Verhoeff and his team advise Gilde Equity Management since the mid-nineties on the acquisition and divestiture of portfolio companies.
