Amec Foster Wheeler plc completes acquisition of Foster Wheeler AG through Swiss Merger

Amec Foster Wheeler plc (formerly Amec plc) and Swiss-incorporated Foster Wheeler AG entered into an implementation agreement relating to the acquisition of Foster Wheeler AG by Amec Foster Wheeler plc. In accordance with the implementation agreement, Amec Foster Wheeler plc submitted a U.S. public tender offer for all outstanding shares of Foster Wheeler AG, and after the settlement of such tender offer initiated a merger pursuant to Swiss law involving Foster Wheeler AG as transferring company and company ceasing to exist as a result of the merger, and providing for a compensation payable to the remaining shareholders of Foster Wheeler AG other than shares of the surviving company. The merger became effective with its registration in the Commercial Register on January 19, 2015, such registration completing Amec Foster Wheeler plc's acquisition of Foster Wheeler AG.
