Ashurst is advising Sodexo Motivation Solutions U.K. Limited (a wholly-owned subsidiary of Sodexo SA) on its £41 million acquisition of Motivcom plc. Motivcom is an AiM-listed business services group offering incentives and loyalty expertise and meetings and event management services to blue chip corporate clients.
Under the terms of the transaction, which is being structured as a scheme of arrangement, Motivcom shareholders will receive 148p in cash per share. In conjunction with the transaction, Motivcom has also agreed to sell its meetings and event management business to one its directors. Prior to this sale completing, the property in Derby used by this business will be transferred to Motivcom and then leased back to the buyer.
