24 Aug 2018

Ashurst advised Varian Medical Systems, Inc. (Varian), a leading manufacturer of medical devices and software for radiation oncology treatments, on the acquisition of privately-held humediQ global GmbH, the Munich-headquartered manufacturer of "Identify", an automated patient identification, positioning and motion management system.

This acquisition expands Varian's motion-management portfolio and is part of the company's long-term growth and value creation strategy.

The Ashurst team was led by partner Dr Benedikt von Schorlemer (corporate/M&A, Frankfurt) and comprised lawyers from the Frankfurt and Munich offices:

Corporate/M&A (Frankfurt): Counsel Dr. Philip Cavaillès, associates Jan van Kisfeld, Jan Ischreyt and Anna Geissler;
Commercial (Frankfurt): Counsel Holger Mlynek;
Public law (Frankfurt): partner Dr Maximilian Uibeleisen and associate Dr Simon Groneberg;
Data protection (Frankfurt): senior associate François Maartens Heynike and associate Tjorven Dausend;
Employment (Frankfurt): Counsel Juditha von der Heydt and senior associate Lukas Müller; and
Tax (Frankfurt): partner Dr Martin Bünning, senior associate Dr Susanne Knoch and associate Carina Park.
In-house, the legal transaction was handled by Mike Dunn, Senior Corporate Counsel, from Palo Alto.
Ashurst regularly acts for its longstanding client Varian. In relation to transactions, Ashurst advised in 2015 on the takeover of 73.5 per cent of the share capital of MeVis Medical Solutions AG, a listed German provider of computer support for image-based medical diagnosis and therapy.

Varian is a leader in developing and delivering cancer care solutions. Headquartered in Palo Alto, California, the company employs approximately 6,500 people around the world.
