Schoenherr advised GE Jenbacher, a subsidiary of the US-based conglomerate General Electric (GE), on its acquisition of Francesconi Technologie GmbH, a technological products firm based in Kapfenberg, Austria. The transaction, which was signed at the end of December 2014, was completed on 20 January 2015 after all necessary approvals were obtained.

Francesconi Technologie manufactures precision components for measuring technology, medical technology, microsystems technology, precision mechanics and sensor technology, as well as precision casings, metal components and precision laser screens. GE’s Jenbacher gas engine division is a manufacturer of gas-fueled reciprocating engines, packaged generator sets, and cogeneration units for power generation.

The GE Transaction Team was led by John Andrews (GE Power & Water/Business Development, M&A) and Bryan Kaye (GE Power & Water/Legal).

The Schoenherr team advising GE was led by Christian Herbst (partner; Corporate/M&A), and also consisted of Maximilian Lang (attorney; Corporate/M&A), Volker Weiss (partner, EU & Competition), and Tamara Gaggl (associate; Corporate/M&A). Slaughter and May advised General Electric alongside Schoenherr.

The seller, the Francesconi Private Foundation, was advised by Taylor Wessing’s Vienna office.
