The international law firm Baker & McKenzie has advised the Barry-Wehmiller Group, a U.S. family-owned mechanical engineering group, on the acquisition of the operations of Winkler+Dünnebier GmbH (W+D) from Körber AG. The acquisition includes W+D's operations (including the operations of its subsidiary POEM GmbH) in Neuwied and Löhne, Germany, along with the subsidiaries W+D North America and W+D Asia Pacific. The parties anticipate closing of the transaction to take place at the end of December 2015, after fulfillment of all closing conditions.
Baker & McKenzie advised Barry-Wehmiller on all relevant legal issues in Germany and abroad. "Our client is strongly expanding at the moment. After the acquisition of the paper engineering business of Körber AG in 2014 and the acquisition of the paper business of bielomatik Leuze in July this year, this is the third significant acquisition in Germany where we advised Barry-Wehmiller. In pursuit of its strategy of internationalization, the European market becomes increasingly important for our client," Gerald Schumann, Corporate/M&A partner, states with regard to the transaction.
Barry-Wehmiller is a diversified global supplier of engineering consulting and manufacturing technology for the packaging, corrugating, sheeting and paper converting industries. Barry-Wehmiller has become a $2+ billion organization with 11,000-plus team members worldwide.
Winkler + Dünnebier was established in 1931 and is a globally renowned market leader for integrated solutions for the mailing, tissue and hygiene industry sectors. W+D will operate as an independent business unit within Barry-Wehmiller’s Converting Solutions platform alongside Paper Converting Machine Company (PCMC).
The Baker & McKenzie Corporate/M&A teams advise clients in cross-border transactions and reorganizations on a regular basis. Most recently, e.g., Baker & McKenzie has provided advice to ZF Friedrichshafen AG on the acquisition of the industrial and wind turbine business of Bosch Rexroth AG, Group Le Duff on the acquisition of Kamps, Telefónica/E-Plus on the sale of yourfone to Drillisch, Flowserve Corporation on the acquisition of the SIHI Group, and Hochtief on the sale of the property management business to vincitag and the offshore business to GeoSea.
