Baker & McKenzie recently acted as legal advisor (covering both Hong Kong and US law) to ICBC International Capital Limited ("ICBCI") as the sole sponsor, sole global coordinator and sole bookrunner, as well as the Underwriters on the approximately HK$300 million global offering of Chen Xing Development Holdings Limited, one of the leading property developers in Shanxi Province ("Chen Xing"). The shares of Chen Xing commenced trading on The Stock Exchange of Hong Kong Limited on 3 July 2015. The net proceeds from the global offering will be mainly used to finance the development of Phase 1 of Longtian Project in Jinzhong, Shanxi Province and for working capital and other general corporate purposes.
The Baker & McKenzie team advising ICBCI was led by Beijing-based capital markets partner Jackie Lo and Shanghai-based capital markets partner Lance Chen. They were assisted by special counsels Wang Hang and Christopher Shen and associates Albert Chau and Yolanda Zheng. The team had lead responsibility for underwriting documentation, securities and regulatory issues, communication with the regulators and general transaction management.
Founded in Shanxi Province in 1997, Chen Xing focuses on residential property development projects. In 2013, Chen Xing was ranked 279th among the "Top 500 Property Developers in China" and ranked first among all property developers based in Shanxi Province, by the China Real Estate and Housing Research Association, the China Real Estate Industry Association and the China Real Estate Appraisal Center. As of 31 March 2015, Chen Xing had a land bank with a total GFA of 2.4 million sq.m. in Jinzhong, Taiyuan and Mianyang.
