Baker & McKenzie Advises Nyrstar On EUR120 Million Bond Offering

London, UK/Brussels, Belgium – Leading global law firm Baker & McKenzie has advised multi-metals business Nyrstar NV on its offering of senior, unsecured convertible bonds, due 2018, for a principal amount of EUR 120 million. The bonds were placed through an accelerated bookbuilt placement with institutional investors, and an application will be made to admit the bonds to trading on the Open Market (Freiverkehr) segment of the Frankfurt Stock Exchange.

It is the latest in a number of matters in which Baker & McKenzie has advised Nyrstar since its IPO in 2007, including on several financing agreements (click here and here.) Also this month, Baker & McKenzie advised Nyrstar on its strategic off-take and marketing agreement with Noble Group, to market and sell a significant portion of commodity grade zinc metal produced at its European smelters (click here.)

Brussels-based partner Roel Meers, who co-led on the offering said, "We are pleased to again assist Nyrstar in a successful transaction that will put the company in a stronger position to support its growth opportunities."

The team was co-led by London-based Corporate partner Adam Farlow and also included Brussels-based associate Sigrid Ververken and Frankfurt-based partner Christoph Wolf.

Goldman Sachs International acted as Sole Global Coordinator and Joint Bookrunner, and J.P. Morgan Securities plc acted as Joint Bookrunner.
