Bilfinger sells construction division to Implenia

14 Jan 2015

Allen & Overy advised the engineering and service group Bilfinger on the sale of material parts of its construction business.

The construction division, which operates in Germany and other European countries, was acquired by the leading Swiss construction and construction services company Implenia. The former Bilfinger division employs just under 1,900 staff and generated sales of approx. EUR 600 million in 2014. The transaction is still subject to clearance by the cartel authorities in Germany and other countries. The deal is expected to close in the first quarter of 2015.

Bilfinger intends in future to concentrate its activities on engineering and services for industrial plants, power plants and real estate and had offered its construction business for sale in May 2014.

Inhouse advice was provided by Andreas Lamping (Head of Corporate Legal).

The Allen & Overy team was led by partner Dr. Astrid Krüger (corporate/M&A, Munich) and comprised partners Dr. Hans-Christoph Ihrig (corporate, Mannheim), Dr. Alexander Veith (corporate/M&A, Munich), Dr. Heike Weber (tax, Frankfurt), Dr. Ellen Braun (antitrust, Hamburg), Dr. Jan Schröder (corporate insurance law, Düsseldorf), counsel Dr. Bettina Scharff (employment law, Munich), senior associates Dr. Dorothea Tachezy (corporate/M&A, Munich), Dr. René Galle (antitrust, Hamburg), Miray Kavruk (IP, Düsseldorf), associates Simon Schmid, Gregor Janisch (both corporate/M&A, Munich), Dr. Tilmann Becker (corporate, Mannheim), Gunnar Harlacher (tax, Frankfurt), Vera Thiemann and Dr. Lukas Rengier (both antitrust, Hamburg).
